Item 8.01. Other Events.
On February 9, 2017, Real Goods Solar, Inc. (the “Company”) received a letter from The Nasdaq
Stock Market (“Nasdaq”), notifying the Company that Nasdaq Staff has determined that for the last 10 consecutive business
days, from January 26 through February 8, 2017, the closing bid price of the Company’s Class A common stock has been at $1.00
per share or greater. Accordingly, the Company has regained compliance with Nasdaq Listing Rule 5550(a)(2).
