Explanation of Responses:
( 1)  The restricted stock units (RSUs) were granted under the Santander Consumer USA Holdings Inc. Omnibus Incentive Plan. The award included a total of 21,645 RSUs. One-third (1/3) of the RSUs awarded, or 7,215 RSUs, vested at grant on November 16, 2016 and were settled in shares of common stock. The remaining RSUs will vest in equal installments on each of November 16, 2017 and November 16, 2018. After the shares subject to the restricted stock units vest and are settled, they will remain subject to transfer and sale restrictions for a period of one year.
( 2)  Shares withheld for taxes upon the settlement in shares of restricted stock units granted to the reporting person.
