Entry into a Material Definitive Agreement.
|
On April 8, 2016, Amyris, Inc. (the “
Company
”)
entered into a Securities Purchase Agreement (the “
Purchase Agreement
”) with the Bill & Melinda
Gates Foundation (the “
Gates Foundation
”), pursuant to which the Company agreed to sell and issue 4,385,964
shares of its common stock (the “
Shares
”) to the Gates Foundation at a purchase price per share equal
to $1.14, the average of the daily closing price per share of the Company’s common stock on the NASDAQ Stock Market for the
twenty consecutive trading days ending on April 7, 2016, for aggregate proceeds to the Company of approximately $5,000,000
(the “
Gates Foundation Investment
”). The Purchase Agreement includes customary representations, warranties
and covenants of the parties. The closing of the Gates Foundation Investment is subject to certain conditions, including completion
of certain licensing arrangements, which the Company expects to satisfy in the coming weeks.
In connection with the entry into the Purchase Agreement, on April 8,
2016, the Company and the Gates Foundation entered into a Charitable Purposes Letter Agreement (the “
Letter Agreement
”).
Pursuant to the Letter Agreement, the Company agreed to use the proceeds from the Gates Foundation Investment to develop a yeast
strain that produces artemisinic acid and/or amorphadiene at a low cost and to supply such artemisinic acid and amorphadiene to
companies qualified to convert artemisinic acid and amorphadiene to artemisinin for inclusion in artemisinin combination therapies
used to treat malaria. If the Company defaults in its obligation to use the proceeds from the Gates Foundation Investment as set
forth above or defaults under certain other commitments in the Letter Agreement, the Gates Foundation will have the right to request
that the Company redeem, or facilitate the purchase by a third party of, the Shares then held by the Gates Foundation at a price
per share equal to the greater of (i) the closing price of the Company’s common stock on the trading day prior to the redemption
or purchase, as applicable, or (ii) an amount equal to $1.14 plus a compounded annual return of 10% from the date of issuance of
the Shares. The Letter Agreement also includes customary representations, warranties and covenants of the parties.
