coatings, announced the establishment of the company's Board of
Directors, effective immediately, including four new independent
board members. It is contemplated that at the first formal meeting
of the Board of directors, that the following appointments will be
made:
- Steve Conboy, Chief Executive
Officer will serve as Chairman of the Board, and serve on the
Nominating and Governance Committee.
- Gerry Czarnecki, Board Member,
will serve as the Lead Independent Director,
- Each of the Independent directors will serve on each of the
three standard committees: Nominating & Governance, Audit and
Compensation.
- Judith Muhlberg, Board Member,
will serve as the Chair of the Nominating and Governance
Committee.
- Mark Zorko, Board Member, will
serve as the Chair of the Audit Committee, and
- Tom Comery, Board Member, will
serve as the Chair of the Compensation Committee.
The establishment of a Board of Directors was conveyed to
shareholders in Steve Conboy's March
letter in which he advocated that this governance structure would
provide the company's leadership with valuable outside perspective
and guidance to inform the company's strategy, enhance
decision-making and influence profitable growth.
