ITEM 1.02 TERMINATION OF A MATERIAL DEFINITIVE AGREEMENT

Turbine Truck Engines, Inc. (“TTE”) entered into a Binding Letter of Intent (LOI) on January 23, 2013 with BluGen, Inc., a California corporation, the terms of which were outlined in the Company’s 8K filed January 29, 2013. Although TTE believes the LOI terminated on its own, TTE elected to send a formal notification of termination to BluGen, Inc. on October 24, 2014.

TTE exercised its right to terminate the LOI and all rights and obligations created thereunder, based upon the fact that none of the Steps outlined in the LOI have been completed, and upon the lack of pursuit of those steps or the formalization of a Joint Venture Agreement as provided therein.
