ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

On September 30, 2014, Aehr Test Systems, or the Company, issued a press release announcing the Company's financial results for its first quarter of fiscal year 2015 ended August 31, 2014. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.
