What I do know is if they do come in at the basic price or
better (3.00 per share) I will be buying shares as fast as I can.
I don't think I willing to buy over 10 dollars unless they
put out a really good profit statement.
I do know their a good company an are worth at least 10 dollars
per share. I'm just not sure their risk is worth greater than
that or not. I look forward to seeing their first 10k or profit report that would tell us a lot.

I don't know what to think ; but rumor is (From what I hear)
They may be going public sometime next yr. or sooner.
What I do know is the company is doing extremely well in business.

That would be nice, Lets just wait and see.

Did a little checking on ThinkPath today. Back in June of 2008, Laurus Master Fund Ltd. won the auction for bankrupt Thinkpath Inc. for $4.976 million. The company appears to be doing well under totally new management.

Maybe French is hiding in a monastery somewhere in northern Canada...

I have no idea. Probably still something going on - bk often makes it possible for failing companies to get out of a lot of debt and restart. Doesn't mean they'll succeed, but it is a fresh start.

And even if they are surviving, have a remote chance of succeeding at something for awhile, current stock holders are out of it completely.

At least nobody is pumping this one anymore...

It's been a full year since anyone has posted on the board. I see that the PPS is down to 0.0004. To be honest....I'm kinda surprised that it's not 0.0001 or R/S'ed a few more times since I last checked.

There is about to be another symbol change. The grace period on filing the overdue 10K ends on the 16th. After that, THPHE.OB becomes THPHF.PK.

skruggs: Been funny watching people paying .055, then .05, then .041, then .03, then .025, and now .01 last couple of days.

I can't believe anyone is paying anything for this bk crap. People buying at .05 are down 80% in two days. Even the people buying at .02 are down 50%.

I guess they couldn't rely on selling stock anymore to keep the doors open....

IMO, they should have done this at least 5 years ago. Their shareholders would have not been so badly harmed if they had.

jking: Reading the OMNIBUS AMENDMENT NO. 5 AND WAIVER near the end of the 10Q filing leaves no doubt that Laurus wants its money back.

What I really want to see is Mr. French's bonus number for 2007. He could take that hard earned bonus in stock and own 33% of the company.

I'm seriously beginning to believe Declan French is a financial genius.

EBITDA shenanigans

Why is the EBITDA (Earnings Before Interest, Taxes, Depreciation, and Amortization) so important if everyone sees that it is just due to debt forgiveness? Let's not forget Mr French's employment agreement, it makes everything clear:

EBITDA AS A PERCENTAGE
GROSS REVENUE (US DOLLARS)---------BONUS (US DOLLARS)
-----------------------------------------------------
7%--------------------------------US$200,000.00
8%--------------------------------US$300,000.00
9%--------------------------------US$400,000.00
10%--------------------------------US$500,000.00

So debt forgiveness due to poor operating results and the inability to make payments could net Mr. French a $500,000 bonus.

Amazing. The Laurus boys seem to have been outsmarted.

10Q is Out

Looks like a 4th quarter paper profit is in the works thanks to the 600K+ fee forgiveness by Laurus.

Is the accounting method which Thinkpath uses to show large positive EBITDA numbers sound? They call the fees and penalties "interest" which doesn't influence EBITDA. But when those same amounts are forgiven they aren't a reduction in interest but are a reduction in general expenses which improves EBITDA.

So, as it looks to me, if someone charged Thinkpath a $2 million fee in January and forgave the fee in December, Thinkpath would show a 2 million dollar positive EBITDA result when in reality nothing was gained or lost.

Sounds like THPHF has created a perpetual EBITDA building machine, can they patent it?

Registration II

From the latest SEC filing Thinkpath registered some shares, but not the ones underlying the Laurus options and warrants.

Thinkpath registered shares representing 10% of the stock outstanding to someone named Cheryl Goldman. Anyone know who she is and what she did for 1+ million shares?

The other shares registered go to BOD members and employees who likely need to be paid. It is probably better to fire up the share printing press and give them shares versus having to pay them with cash.

Can anyone explain Thinkpath's delay in registering the shares underlying the Laurus options and warrants? The fees associated with the registration delay are costing Thinkpath approx. 100K per month. Thinkpath has had over 2 years to register the securities, what's the problem?

Thinkpath is in no position to throw away 100K per month.

Jking: The 10Q and the PR are completely different stories.

Reading the PR, Bob Trick and John Kennedy must have gotten cold feet, looks like it was Kelly Hankinson's turn to put her butt on the line.

Her comment... "Thinkpath has been focused on improving bottom-line results while at the same time significantly improving our top line growth, as may been seen from the results we achieved in the second quarter of this year."... is about as misleading as can be, more so coming from the CFO who obviously knows better.

Not sure how she sleeps at night.

gimp_vulture: You're totally correct, particularly about the assessment of the PR.

This is the first stock, even OTC BB stocks, that I've ever seen totally ignore the implication of a huge one-time paper gain on the earnings. Every other stock I've ever followed that had one of these, mentioned it somewhere, no matter how buried, in any earnings pr they put out.

French was clearly being disengenuous, if not deceitful...

Losses and dilution continue. All sorts of fees and interest from the vultures. THPHF has reverted back to relying on debt forgiveness and the share printing press.

The THPHF PR issued today is a misleading travesty.

gimp_vulture: The error in the NT 10Q was the claim of making 260K net for the 6 months.

Just about 74K was the number.

Looks like French lost just about 500K once you back out the one-time 'gain' of 700+K.

Another shit quarter.

gimp_vulture: I suspect that the 250K reported for the 3-month period was a typo - It probably was supposed to read 450K.

Deduct 189K loss for the first quarter from 450K and you get 261K for the 6 months.

THPHF magically turned a 189K Q1 loss into a 10K Q1 profit. Maybe 3 months from now they can wave the wand again and report a 400K profit for Q1. Just keep bumping up that number until someone complains.

Most interesting - He lost 130K or so for the first 3 months, but now he is claiming 10K more in net income for the 6 months over 250K for the last 3 months?

How exactly does that work???

Where do you come up with numbers for the full year?

gimp_vulture: The profit was for the full year, which means it would have to include a deduction for the first quarter's loss (130-140K?).

Still 400K more loss than you projected.
