Pursuant to Rule 477 under the Securities Act of 1933, as amended (the “Securities Act”), iQSTEL Inc. (the “Company”) hereby respectfully requests that the Securities and Exchange Commission (the “Commission”) consent to the withdrawal, effective as of the date hereof or at the earliest practicable date hereafter, of its Registration Statement on Form S-1, together with all exhibits thereto, filed with the Commission confidentially on December 23, 2024 (the “Registration Statement”).



Due to prevailing market conditions, the Company has determined not to utilize the Registration Statement for an initial public offering at this time. Because the proposed offering of shares of the Company’s common stock that would have otherwise been registered under the Registration Statement will not occur, the Company believes that the withdrawal of the Registration Statement is consistent with the public interest and the protection of investors, as contemplated by Rule 477(a) under the Securities Act. The Registration Statement has not been declared effective by the Commission and no securities have been or will be sold pursuant to the Registration Statement.



The Company further requests that, in accordance with Rule 457(p) under the Securities Act, the fee paid to the Commission in connection with the filing of the Registration Statement be credited for future use to the Company’s account to be offset against the filing fee for future use by the Company or an affiliate of the Company.

And any good company will continue to sell itself, along with the proof of selling itself and it's products to partners as well as shareholders. And, good NEWS is also on its way. 10-Q is due in one month and iQSTEL has been consistent, by SEC records, in releasing 10-Qs in 45 days from the close of the quarter (and 10-Ks in 90). Like clockwork, I expect the 'proof in the pudding' will be available on May 15. So, I'm sharpening up my computer keys (don't use pencils anymore) and standing ready. IMO, the boon is now closer than the horizon. As we move away from this rugged economy, I'm looking for .15+ any day now.

I know I sold 620 thousand shares last week and it took forever to close out that position!! Lost 30k in this stock but gained 65k in equity by using the money elsewhere!! Not looking good here with serious debt and dilution coming and margins are pathetic!! No other way to look at it!!

I see two regrets. One hurts. One sometimes never goes away.

2. Missing the boat.

Let me take a shot at it barmarty. First I will say factually that the only investors losing money are those that sell while a company is down and those that hold out until a company goes belly up. This is where research and due diligence based on that research come into play. Confidence is as different as the faces of every investor and each person places their confidence as they see fit, whether as to gain or loss. Obviously, if your confidence is that a company will fail, you move on to another investment where your confidence is toward the success of the company and it's members' efforts. Pretty basic common sense derived from one's own research and due diligence. Only the face belonging to the confidence can decide what they feel is the fate of that investment. Hype and news. Sure, there's both. The news and the actual steps of the company. Their "about" blog, their agenda and their mission. All to be considered and decided upon by the face of confidence. Then the hype. A company is no company that doesn't sell its efforts and goals. Here the face of confidence sorts, determines and decides. Between fact, fantasy and falacy. The company's opinion and the face's stand alone. There is nothing else to pull from but research and due diligence. What is the company selling and how much of it is the face of confidence willing to buy when measured against the history and status of the company? It's clear, some folk ought not be in the stock market at all. Others, only in the time tried, tested and true stable portion of the Street. Then there are those willing to lose it all for the potential high risk offers. Lastly, there is a well-managed space between the stability and the risk. Advice is not recommended as to any of these criteria. The face can only stand where it alone decides to stand. Even I disclaim any portion of this blog to be relevent to anything to do with investing or life in general. I recommend nothing and advise in no direction. One's money and the use of it is one's own responsibility and his own boon or regret.
