Lucent announces that, with regard to the Recommended Cash 
Offer for SDX (the "Offer"), the Office of Fair Trading confirmed 
on 8 July, 1998, that the proposed acquisition by Lucent of SDX 
does not qualify for investigation under the Fair Trading Act 1973.

SDX shareholders who have not already accepted the Offer, should 
complete and return their Forms of Acceptance as soon as possible 
but in any event no later than 3.00PM on Monday 13 July.
