Result of EGM
Further to the announcement made on 6 April 2006, the Company is pleased to
announce that all the resolutions put to the shareholders of the Company at the
extraordinary general meeting held today, details of which were set out in the
circular to shareholders dated 6 April 2006, were duly passed. The resolutions
were in relation to, inter alia, the acquisition of the Tambelan Interest
("Acquisition") and authorising the issue of 268,073,114 new ordinary shares of
0.1p each in the Company ("New Ordinary Shares") pursuant to the Proposals.
Application has been made to the London Stock Exchange for the re-admission of
the 103,200,000 Existing Ordinary Shares and the admission of the New Ordinary
Shares to trading on AIM. It is expected that Admission will become effective
and that dealings will commence in the Enlarged Share Capital on 25 April 2006.
Completion of the Acquisition is due to take place on 25 April 2006.
On the Completion of the acquisition of the Tambelan Interest, due to take place
tomorrow, Graham Butt will assume the role of Executive Chairman and Chris Adams
and Geoffrey Conway-Henderson will be appointed to the Board. In addition,
Terry Bartlett will step down as a director and the Board would like to thank
Terry for his valuable contribution to the Company during his term of office.
Unless the context otherwise requires, defined terms used in this announcement
shall have the meanings given to them in the circular to shareholders of the
Company dated 6 April 2006.
