Explanation of Responses:
( 1)  On September 28, 2010, New Oriental Energy & Chemical Corp. (the "Company") and Zhou Dianchang entered into an Indebtedness Conversion Agreement (the "Conversion Agreement") pursuant to which, in lieu of cash payment for money Zhou Dianchang advanced to the Company (the "Loans"), the Company issued shares of its common stock for such portion of the Loans.
( 2)  Auto Chance International Limited ("Auto Chance") owns 7,500,000 shares of common stock of the Company. As a stockholder of Auto Chance, Zhou Dianchang has an indirect pecuniary interest in the common stock of the Company. Zhou Dianchang disclaims beneficial ownership of the shares of common stock of the Company. Zhou Dianchang owns, and has a direct pecuniary interest in 73,746 shares of common stock of the Company pursuant to the Conversion Agreement.
