The Company is unable to file its Quarterly Report on Form 10-Q for the quarter ended June 30, 2016 within the prescribed time period because it has not yet been able to complete its financial statements for such period.  The Company intends to file its Quarterly Report on Form 10-Q on or before the 5th calendar day following the prescribed due date.

On July 20, 2016, the Registrant closed the sale of the its sole operating subsidiary, Enviromart Industries, Inc., as reported in its Form 8-K filed with the SEC July 25, 2016. Although the closing occurred on July 20, 2016, under the terms of the operative agreement, it was effective as of April 1, 2016.


The Registrant expects to report net income of approximately $1,260,000 during the quarter ended June 30, 2016, due primarily to an approximate $1.3 million gain on the disposal of its operating subsidiary, compared to a loss of $191,000 during the comparable prior period. Since the registrant had business operations during the quarter ended June 30, 2015 and had discontinued its business operations effective at the beginning of the current quarter, the registrant does not believe that a comparison of the current period (06/30/2016) to the comparable prior period (06/30/2015) would be meaningful.
