LPC acquired CMSโ€™ assets through an asset purchase agreement for approximately $1 million, primarily funded by cash from a recent capital raise and stock. The acquisition was made possible through divestments by CMSโ€™ parent company as part of its Chapter 11 bankruptcy proceedings. LPC ensured a smooth transition by offering positions to all CMS employees, providing stability and continued service for CMSโ€™ valued customers and vendors.

Tupuola added, โ€œWe believe the value we obtained from this acquisition was substantial, as the assets were under-monetized due to its former parent companyโ€™s over-leveraged financial position. Over the coming years, we see a tremendous opportunity to unlock CMSโ€™s growth potential by integrating it into our existing sales and marketing infrastructure, enhancing customer engagement and expanding our market reach to maximize wallet share from current customers and bring new clients on board.โ€

Reflecting on the strategic importance of the acquisition, Carlos Sardinas, VP of Finance at LPC, emphasized in an interview that CMSโ€™ strong foothold in the pharmaceutical sector, alongside its advanced laser systems for controlled-release medications, positions LPC to further expand in the life sciences industry. Wayne Tupuola, CEO of Laser Photonics, commented:

"This acquisition will enable LPC to expand into the massive, growing pharmaceutical and medical manufacturing vertical, a recession-resistant sector with significant barriers to entry, while diversifying our business and providing us with a significant new market opportunity. CMS has worked with world-class pharmaceutical companies, delivering solutions that meet the industry's most stringent standards for both enabling controlled-release tablets and traceability of medications and packaging for compliance."

"We believe CMS is under-valued due to its lack of investment in sales and marketing over the past few years that will benefit from leveraging LPCโ€™s existing sales and marketing infrastructure. LPC plans to unlock additional value through targeted marketing and customer engagement."

"In addition to focusing on expanded sales and marketing, we plan to hire all CMSโ€™ existing workforce, including engineers and customer support personnel, who we believe will add significant value to our company. Upon closing the transaction, LPC is committed to ensuring a seamless transition for ALL existing CMS employees. Current CMS customers can also expect uninterrupted service and support during this transition."

Market Opportunity in Pharmaceutical and Medical Laser Solutions

The pharmaceutical market for controlled-release medications is expanding rapidly, driven by the growing need for more effective and patient-friendly drug delivery systems. Controlled-release tablets, which gradually release medication over time, require precision manufacturing techniques to ensure the proper dosage and timing of active ingredient release. Laser technology plays a critical role in creating micro-drilled apertures in these tablets, ensuring accurate and consistent drug release.

With global pharmaceutical companies focusing on enhancing drug delivery mechanisms, the demand for laser-based solutions like those provided by CMS is expected to rise. CMSโ€™ experience in supplying laser systems to pharmaceutical companies, coupled with Laser Photonics' sales and marketing expertise, positions LPC to take full advantage of this growing market segment.

Additionally, regulatory bodies, including the FDA, are enforcing stricter serialization and traceability requirements, creating opportunities for laser marking systems to become essential in ensuring compliance. Lasers can precisely mark packaging with batch numbers, expiration dates and unique identifiers, helping pharmaceutical companies meet global standards for product safety and anti-counterfeiting measures.

CMS Products and Technologies

CMS has a well-established reputation for delivering precision laser solutions to the pharmaceutical industry, particularly for controlled-release tablet production and packaging compliance. Its laser drilling systems are critical for creating microscopic apertures in tablets, allowing for precise control over drug release rates. This technology is essential for the manufacturing of medications that require gradual, timed release of active ingredients, ensuring improved patient adherence and therapeutic effectiveness.

Additionally, CMSโ€™s advanced laser marking systems are integral to pharmaceutical traceability. These systems enable precise, high-speed marking of batch numbers, expiration dates and unique product identifiers on both medications and packaging, ensuring compliance with global regulations such as those from the FDA and GMP. Laser marking plays a crucial role in preventing counterfeiting, safeguarding patient safety and maintaining the integrity of the pharmaceutical supply chain.

CMS also brings cutting-edge ultrafast laser technologies that enable non-contact processing of sensitive pharmaceutical materials, such as micro-components used in drug delivery systems. These systems reduce material waste and ensure the highest quality standards in production by offering unmatched precision without damaging delicate materials.

Diversification into a Recession-Resistant Vertical

This strategic acquisition expands Laser Photonics' technological capabilities while adding a recession-resistant vertical to its business portfolio. The pharmaceutical industry, driven by constant medical demand, is less vulnerable to economic downturns, providing a stable revenue stream for LPC. The growing demand for controlled-release medications and the increasing need for precision laser solutions in pharmaceutical manufacturing further position LPC for long-term growth.

Laser Photonics To Join Brokk Australia at IMARC 2024 in Sydney
Showcasing Cutting-Edge Laser Solutions For Global Mining Industry

ORLANDO, Fla.--(BUSINESS WIRE)-- Laser Photonics Corporation (LPC) (NASDAQ: LASE), a leading global developer of industrial laser systems for laser cleaning and other material processing applications, is to join Brokk Australia at the International Mining and Resources Conference (IMARC), a top forum for critical discussions and innovation across the global mining and resources sector.

In its 11th year, Australia's largest mining event, IMARC 2024, prepares to open its doors to more than 9,000 attendees from 120 countries at the ICC Sydney Convention Center from October 29 to 31. This year, LPC and Brokk Australia will be among over 500 companies showcasing their innovations on the conference floor, which spans an impressive 215,300 square feet.

The joint participation follows the collaboration between LPC and Brokk Australia to bring laser cleaning and cutting technology to the mining, tunneling, construction, metal processing and military ecosystems in Australia, New Zealand and throughout the Asia-Pacific region. Together with Fonon Technologies, LPC is also working with Brokk US on the integration of laser cleaning and cutting technology into remote-controlled robots.

Fonon Technologies is a laser-based development and worldwide manufacturing and systems integration company for state-of-the-art components and material processing equipment specifically produced to meet the stringent requirements of government organizations, as well as all branches of the U.S. military and defense contractors.

"We are excited to be able to participate at this event in the coming weeks. Fonon Technologies can significantly help industry professionals optimize maintenance processes, streamline operations, and move toward more eco-friendly and sustainable practices." said Fonon Technologies Vice President Bryan Lee, "Partnering with an industry-leading giant like Brokk at IMARC magnifies the impact of our collaborative efforts and highlights our ability to bring groundbreaking technology to industries worldwide."

Managing Director of Brokk Australia Ptd Ltd, Will Visser, commented: "Brokk Australia is always excited to exhibit at IMARC. This forum serves as one of the premier meeting grounds and collaboration hotspots for professionals in the global mining industry. It provides us with an ideal platform to boost the visibility of our game-changing, globally tested, and automated solutions. Adding LPC as a fellow participant at this year's IMARC will only help to further illustrate our growing impact in the industry."

The theme of IMARC 2024 is "Accelerating the Critical and Responsible Pathway to Net Zero." The conference will cover various aspects of the mining value chain, including investment strategies, decarbonization strategies, commercialization and applications of innovative technologies. At IMARC, LPC will present a selection of its laser cleaning systems, including its compact laser cleaning system, the Marlin Professional Portable Finishing Laser 1010. This dual-axis, air-cooled pulsed laser system offers a small form factor and mobility ideal for immediate MRO tasks in the field.

Trying to give the company the benefit of the doubt, looks like the questions I recently had(about the people at the helm) are the same queries the SEC had raised in 2020.Capybara probably just took advantage over that cloud of doubt that management needs to clear up categorically.Their overzealousness sometimes feels like a dampener.Too many PRs,then retractions, too much talk. Watching very closely though, anything positive comes up & will likely grab some again.

We note your disclosure here that your brand was used by Laser Photonics Inc. and on page 35 that a number of your executive officers are currently also officers of Laser Photonics Inc. Please describe your current relationship with Laser Photonics Inc. including whether you are separate companies or related companies and whether you have the same owners.

Response: We have revised our disclosure to delete references to Laser Photonics Inc. and to clarify that the reference should have been to ICT Investments.

6. We note that you mention in your January 22, 2020 press release that Dmitriy Nikitin was your "CTO and interim CEO of Laser Photonics Corporation." However, it does not appear that your disclosure mentions that Dmitry Nikitin was an officer of the company. Please advise or revise accordingly.

Response: We are not aware of the January 22, 2020 press release to which you are referring but assuming that it was issued by us we
are advising you that the press release was in error and that the role of Dmitriy Nikitin is an adviser to Laser Photonics as we have now stated in Amendment No. 1 to the registration statement

If LASE is serious and I think they are then get these asswipes before a Grand Jury ASAP. They will get indicted for sure!

Both sides (Capy & the company) are acting like amateurs, let's see which one gets the last word. The question I started off with, still remains unclear. Who's that Dmitri Nikitin guy, in what way is he connected to LASE. Not a company executive or a board member(doesn't look like he's a meaningful shareholder either). The company rebuttal only said this(quoting below):

The report centers on allegations involving an individual affiliated with, but not employed by, or a director of, LPC. This individual is not involved in the Companyโ€™s day-to-day operations.
So, Who/What exactly is his role in the company?
