Item 8.01. Other Events

On November 8, 2024, the United States District Court for the District of New Jersey granted the motion to dismiss filed by the Company, the Company’s Chief Executive Officer, and its current Chief Financial Officer (the “Defendants”) in connection with a class action lawsuit filed on August 1, 2023 by plaintiff William Houck alleging that the Defendants violated federal securities laws by making knowingly false or misleading statements about the Company’s contractual relationship with a customer and about the size of the Company’s order backlog and commercial pipeline.
