Henderson Private Equity Investment Trust plc announces that at the Annual 
General Meeting held earlier today all resolutions proposed were duly passed, 
five of which were special resolutions, including a special resolution to adopt 
new Articles of Association. 
 
The full text of all the resolutions can be found in the Notice of Meeting 
contained in the Annual Report and Financial Statements, copies of which are 
available for viewing at the Document Disclosure Department of the Financial 
Services Authority. Copies of the new Articles of Association have been 
submitted to the Document Disclosure Department, and will shortly be available 
for inspection at the UKLA's Document Viewing Facility which is situated at:
