HENDERSON PRIVATE EQUITY INVESTMENT TRUST PLC 
 
Receipt of General Meeting Requisition Notice 
 
The Board of Henderson Private Equity Investment Trust plc ('the Company') 
hereby announces that on 16 December 2009 it received a requisition notice from 
Advance UK Trust PLC ('Advance'). The notice from Advance requires the Company 
to call a General Meeting to consider the following special resolution: 
 
"THAT the Directors are required to bring forward proposals, within three 
months of the date of the passing of this resolution, designed to substantially 
narrow the discount that the ordinary shares of the Company trade at relative 
to their net asset value and improve the trading liquidity of such ordinary 
shares. Such proposals may include, but are not limited to, a merger with a 
similar company." 
 
The Board will provide an update to shareholders by 6 January 2010 and advises 
shareholders to take no action in the meantime. 
 
The Board notes that on 16 December 2009 Advance announced that a resolution 
proposing its continuation for a further three year period was not approved by 
its shareholders at the Annual General Meeting held that day. The announcement 
further stated that the directors of Advance have three months to put proposals 
to shareholders of Advance to wind up the company voluntarily.
