British Energy plc

The Royal Bank of Scotland Trust Company (Jersey) Limited, as trustee of the
British Energy Employees' Share Ownership Plan ("the ESOP"), purchased 4.5
million shares in the Company at a price of 171.75p per share on 21 August
1997.  Each of the executive directors of the Company, being Messrs Kirwan,
Jeffrey and Warry, have declared their interests in these shares as a
potential beneficiary under the ESOP, together with all other employees of the
Company and its subsidiaries.
