DEREGISTRATION OF SECURITIES
This Post-Effective Amendment No. 1 (this Post-Effective Amendment) relates to the Registration Statement on Form S-3
(Registration No. 333-105458) of Midas, Inc., a Delaware corporation (the Company), filed with the Securities and Exchange Commission (the SEC) on May 21, 2003, as amended by Amendment No. 1 thereto filed with
the SEC on August 25, 2003, Amendment No. 2 thereto filed with the SEC on September 12, 2003 and Amendment No. 3 thereto filed with the SEC on September 12, 2003 (as so amended, the Registration Statement), which
registered the offering of 1,000,000 shares of common stock, par value $0.001 per share (together with the associated preferred stock purchase rights, the Common Stock).
On March 12, 2012, the Company entered into an Agreement and Plan of Merger (the Merger Agreement) with TBC
Corporation., a Delaware corporation (Parent), and Gearshift Merger Corp., a Delaware corporation and a wholly-owned subsidiary of Parent (Purchaser). On April 30, 2012, pursuant to the Merger Agreement, Purchaser was
merged with and into the Company (the Merger), with the Company surviving the Merger as a direct, wholly-owned subsidiary of Parent. At the time the Merger became effective, each share of Common Stock of the Company issued and
outstanding immediately prior to the effective time of the Merger (other than shares owned by Parent, Purchaser, the Company or any of their respective direct or indirect wholly-owned subsidiaries, and shares held by stockholders who are entitled to
and properly demand appraisal rights under Delaware law) was automatically converted into the right to receive an amount in cash, without interest thereon and less any applicable withholding taxes, equal to $11.50 per share.
As a result of the Merger, the Company has terminated the offering of its Common Stock pursuant to the Registration Statement.
In connection with the Merger, the Company has terminated all offerings of the Companys securities pursuant to its
existing registration statements, including the Registration Statement. In accordance with an undertaking made by the Company in the Registration Statement to remove from registration, by means of a post-effective amendment, any of the securities
that had been registered for issuance that remain unsold at the termination of such offerings, the Company hereby removes from registration all securities of the Company registered under the Registration Statement that remain unsold as of the date
of this Post-Effective Amendment.
