Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 6, 2023, Recruiter.com Group, Inc. (the “Company”) provided notice to Judy Krandel of termination of employment, effective September 6, 2023 (the “Termination Date”). The notice of termination was given in light of the Company having entered into that certain Stock Purchase Agreement, dated June 5, 2023, with GoLogiq Inc., which provides for the dismissal of Company officers prior to Closing (the “Transaction”). The Company currently expects Ms. Krandel to work through the Termination Date, assisting with the completion of the anticipated Transaction.
