Item 8.01 Other Events

On September 26, 2023, the Board of Directors (the “Board”) of First Community Bankshares, Inc. (the “Company”) approved a new stock repurchase plan for 2.7 million shares of its common stock commencing on September 27, 2023.

The manner, timing, and amount of any purchase will be based on an assessment of business, economic and market conditions, corporate and regulatory requirements, prevailing stock prices, and other considerations. The Company may repurchase shares of common stock from time to time through open market purchases, in privately negotiated transactions, or by other means, including through the use of trading plans, each in accordance with applicable securities laws and other restrictions. The repurchase program will be effective through December 31, 2026, and may be suspended, terminated, or modified at any time for any reason, and it does not obligate the Company to purchase any particular number of shares.

Additionally, effective as of September 26, 2023, the Board terminated the share repurchase plan that was adopted by the Board on January 26, 2021. This plan would have expired on December 31, 2023.
