Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 16, 2023, Hon. David J. Shulkin, M.D. notified CareMax, Inc., a Delaware corporation (the “Company”), of his decision to resign as a member of the board of directors of the Company, effective on such date. Dr. Shulkin’s resignation is not because of any disagreement between the Company and Dr. Shulkin, known to an executive officer of the Company, on any matter relating to the Company’s operations, policies, or practices.
