VIZSLA SILVER REPORTS ADDITIONAL HIGH-GRADE SILVER AND GOLD THROUGH ONGOING INFILL DRILLING AND EXPANDS NEAR SURFACE MINERALIZATION AT COPALA CENTRAL
Vancouver, British Columbia (October 1, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla” or the “Company”) is pleased to report results from 11 new drill holes targeting the Copala resource area at its 100%-owned, flagship Panuco silver-gold project ("Panuco" or the "Project") located in Mexico. The reported drill results are from the recently completed infill program, designed to upgrade and expand Mineral Resources within areas designated for initial production at Copala.
Highlights
CS-24-393 returned 4,573 grams per tonne (g/t) silver equivalent (AgEq) over 5.65 metres true width (mTW) (3,007 g/t silver and 26.06 g/t gold)
Including 16,666 g/t AgEq over 1.48 mTW (10,869 g/t silver and 96.11 g/t gold)
CS-24-390 returned 3,368 g/t AgEq over 5.80 mTW (2,551 g/t silver and 14.85 g/t gold)
Including 30,305 g/t AgEq over 0.46 mTW (21,953 g/t silver and 146.50 g/t gold)
CS-24-389 returned 5,224 g/t AgEq over 2.30 mTW (2,851 g/t silver and 37.30 g/t gold)
Including 10,077 g/t AgEq over 1.05 mTW (5,410 g/t silver and 73.10 g/t gold)

The precious metals dominant Copala structure, located in the western portion of the Panuco district, is situated ~800 m to the east of the Napoleon Vein. Copala currently hosts Indicated Resources of 83.3 Moz AgEq at 573 g/t AgEq and Inferred Resources of 48.3 Moz AgEq at 476 g/t AgEq within a broad envelope of vein-breccia interlayered with host rock, up to 82 metres thick (please refer to our Technical Report on Updated Mineral Resource Estimate for the Panuco Ag-Au-Pb-Zn Project, Sinaloa State, Mexico, by Allan Armitage, Ben Eggers and Peter Mehrfert, dated February 12, 2024 and Vizsla’s press release dated January 8, 2024). Observations by Vizsla geologists indicate Copala has an average dip of ~46° to the east (~35° in its northern sector and steepening to ~65° in the southern sector).
Exploration and resource focused drilling at Copala has traced mineralization along ~1,770 metres of strike length and ~400 metres down dip. Recent mapping, supported with LiDAR, led to the discovery of a historic mine adit on surface located at Copala Central. The location of the historic adit (see figure 2) combined with new 3D interpretations of drilling data highlight the potential for resource expansion up dip from the previously reported CS-24-356 hole containing visible gold (see press release dated June 26, 2024). This area is currently outboard of both the PEA mine plan and MRE boundary, representing an excellent target to expand high-grade mineralization closer to surface.
The 11 holes reported herein are from the recently completed ~5,000 metre drill program designed to infill and expand mineral resources at intermediate elevation and near surface in the central portion of the main Copala structure. Both primary target areas are situated outside the proposed first two years of mine production at Copala. Three infill holes continue to confirm high-grade continuity immediately adjacent to the areas designated for the first two years mining, whereas four holes drilled close to surface, have confirmed that high-grade mineralization extends up-dip by approximately 100 meters towards the recently discovered, historic Copala adit. Previous interpretations suggested that the up-dip projection of Copala was truncated by the Cristiano Vein. New interpretations based on recent mapping, new drill data and 3D modelling indicate Copala extends to the surface therefore creating potential for additional high-grade shoots extending up-dip above the intersection with the Cristiano Vein (red dash line in figure 2). Additionally, our updated 3D model has highlighted two vein intercepts in holes CS-22-156 and CS-22-182 that were previously reported for Cristiano, are now re-interpreted to be on Copala (see figures 1 and 2). Vizsla’s geologists are now preparing drill-hole proposals to explore other zones along-strike Copala where mineralization could extend near to surface.

About the Panuco Project
The newly consolidated Panuco silver-gold project is an emerging high-grade discovery located in southern Sinaloa, Mexico, near the city of Mazatlán. The 17,856.5-hectare, past producing district benefits from over 86 kilometres of total vein extent, 35 kilometres of underground mines, roads, power, and permits.
The district contains intermediate to low sulfidation epithermal silver and gold deposits related to siliceous volcanism and crustal extension in the Oligocene and Miocene. Host rocks are mainly continental volcanic rocks correlated to the Tarahumara Formation.
On January 8, 2024, the Company announced an updated mineral resource estimate for Panuco which includes an estimated in-situ indicated mineral resource of 155.8 Moz AgEq and an in-situ inferred resource of 169.6 Moz AgEq (please refer to our Technical Report on Updated Mineral Resource Estimate for the Panuco Ag-Au-Pb-Zn Project, Sinaloa State, Mexico, by Allan Armitage, Ben Eggers and Peter Mehrfert, dated February 12, 2024 and to our Company´s press release dated January 8, 2024).

Quality Assurance / Quality Control
Drill core samples were shipped to ALS Limited in Zacatecas, Zacatecas, Mexico and in North Vancouver, Canada for sample preparation and for analysis at the ALS laboratory in North Vancouver and rock samples were shipped to SGS Lab in Durango Mexico for sample preparation and analysis. The ALS Zacatecas, North Vancouver facilities and SGS lab are ISO 9001 and ISO/IEC 17025 certified. Silver and base metals were analyzed using a four-acid digestion with an ICP finish and gold was assayed by 30-gram fire assay with atomic absorption (“AA”) spectroscopy finish. Over limit analyses for silver, lead and zinc were re-assayed using an ore-grade four-acid digestion with AA finish.
Control samples comprising certified reference samples, duplicates and blank samples were systematically inserted into the sample stream and analyzed as part of the Company’s quality assurance / quality control protocol.

In accordance with NI 43-101, Jesus Velador, Ph.D. MMSA QP, Vice President of Exploration, is the Qualified Person for the Company and has reviewed and approved the technical and scientific content of this news release.

VIZSLA SILVER ANNOUNCES $65 MILLION BOUGHT DEAL FINANCING
Vancouver, British Columbia (September 16, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla” or the “Company”) is pleased to announce that it has entered into an agreement with Canaccord Genuity as sole bookrunner, on behalf of itself and syndicate of underwriters (the “Underwriters”), pursuant to which the Underwriters have agreed to purchase, on a bought deal basis, 25,000,000 common shares (the "Common Shares"), at a price of $2.60 per Common Share, for gross proceeds of approximately $65,000,000 (the "Offering").
The Company has granted the Underwriters an option (the “Over-Allotment Option”), exercisable at the offering price for a period of 30 days after and including the closing of the Offering, to purchase up to an additional 15% of the Offering to cover over-allotments, if any. The Offering is expected to close on or about September 19, 2024, and is subject to the Company receiving all necessary regulatory approvals. In the event that the Over Allotment Option is exercised in full, the total gross proceeds of the Offering will be $74,750,000.

Silver set to soar on Samsung’s solid-state battery breakthrough – analysts
......According to retired investment professional Kevin Bambrough, Samsung has developed a new solid-state (SS) battery. The inclusion of silver as a key component, combined with the increasing demand for electric vehicles, means that demand for the grey metal will soon increase.
“The key drivers that will ramp up demand for EVs are range, charge time, battery life and safety,” Bambrough said. “Samsung's new solid-state battery technology, incorporating a silver-carbon (Ag-C) composite layer for the anode, exemplifies this advancement. Silver's exceptional electrical conductivity and stability are leveraged to enhance battery performance and durability, achieving amazing benchmarks like a 600-mile range and a 20-year lifespan and 9-minute charge.”
He noted that while official numbers are currently unavailable, estimates show that there could be as much as five grams of silver per cell in Samsung's solid-state batteries, meaning “a typical EV battery pack containing around 200 cells for a 100 kWh capacity could require about 1 kg of silver per vehicle.”
“With global car production standing at about 80 million vehicles per year, if 20% of these vehicles (16 million EVs) were to adopt Samsung's solid-state batteries, the annual demand for silver would be around 16,000 metric tons (16 million vehicles * 1 kg of silver per vehicle),” Bambrough said. “This would represent a significant portion of the current global silver production, which is approximately 25,000 metric tons annually, highlighting the substantial impact on the silver market.”
He noted that this alone presents a bullish trajectory for silver and doesn’t even account for demand from the solar industry.
“Add in the fact that silver is already in a deficit with industrial demand from the solar industry pushing total yearly consumption ahead of supply,” he said. “So we don’t even have any silver capacity to spare!”
Bambrough provided some caveats to his thesis, saying, “Perhaps 5 grams might be high. Perhaps 20% will prove low for solid-state battery penetration into the auto industry. It could be as much as 50% or greater looking 10-15 years out.”
“For me, it’s just another reason to expect silver markets to tighten up [further] and the price of silver to take a run at its all-time inflation-adjusted high [of] $200/oz will likely be seen in the [coming] 10-15 years,” he said. “If estimates of the true short position bullion banks currently carry in the silver market that price could be seen much sooner.”
“All one needs to do is look back at the silver chart of the 1970s to see how explosive the precious metal can move skyward when a true shortage develops and speculators decide to hoard,” he concluded. “My bet is… we will hoard.”
According to a report written by Enrico Punsalang at Ride Apart, Samsung is already working with big automakers to incorporate its SS battery tech into EVs in development. The firm has signed an agreement with Toyota to begin mass production of SS batteries in 2027, with Lexus vehicles scheduled to be among the first to integrate the new technology.
Punsalang noted that one thing that will hinder a faster roll-out of SS battery-enabled EVs is the fact that “these ultra-fast charging batteries require some pretty solid infrastructure for you to get the claimed nine-minute charge time. If we look at China, whose EV makers offer similar charging speeds, 480kW and sometimes even 600kW chargers are an absolute must. But even in China, charging stations of this capacity are far and few in between.”
“So the real challenge here isn’t so much whether or not it’s possible – we know that it certainly is – but rather, how quickly ultra-fast-charging infrastructure can be made available to the masses,” Punsalang said. “Then, of course, there’s the issue of cost. At present, it costs way more to manufacture solid-state EV batteries than Lithium-ion and LFP batteries found in current EVs – around three or four times, to be specific. Perhaps that’s why Toyota plans on introducing solid-state batteries on its Lexus vehicles first, where profit margins are much higher.”
“At the end of the day, the advancement of solid-state batteries is a good thing for everyone,” he concluded. “Sure, at the moment, they’re super expensive and require specialized tech to make the most out of. But less than 20 years ago, SSDs were super expensive and HDDs were the norm. But now, even boomers have SSDs in their laptops and home computers. Who’s to say that in the next 20 years, or maybe even less, SS batteries will be the standard for EVs?”
According to Charlie Morris, founder of ByteTree, this development sets the stage for silver to have a 2010-like rally.
“This reminds me of the silver rally of 2010, which saw the price surge to $50 on the back of demand for solar panels,” he said. “The slump that followed was weighed down not only by a weak gold market but also by substitution, something that has killed many commodity rallies.”

The precious metals dominant Copala structure, located in the western portion of the Panuco district, is situated ~800 m to the east of the Napoleon Vein. Copala currently hosts Indicated Resources of 83.3 Moz AgEq at 573 g/t AgEq and Inferred Resources of 48.3 Moz AgEq at 476 g/t AgEq within a broad envelope of vein-breccia interlayered with host rock, up to 82 metres thick (please refer to our Technical Report on Updated Mineral Resource Estimate for the Panuco Ag-Au-Pb-Zn Project, Sinaloa State, Mexico, by Allan Armitage, Ben Eggers and Peter Mehrfert, dated February 12, 2024 and to Vizsla’s press release dated January 8, 2024). Interpretations by Vizsla geologists indicate Copala has an average dip of ~46° to the east (~35° in its northern sector and steepening to ~65° in the southern sector).
Exploration and Resource drilling at Copala has traced mineralization along ~1,770 metres of strike length and ~400 metres down dip. The infill holes reported herein are part of an ongoing ~10,000 program (~35 holes), planned to convert near surface Indicated Mineral Resources in the central portion of main Copala into the Measured Resource category. The six infill holes reported were drilled at approximately 25 metre centers from pre-existing holes and continue to successfully confirm grade continuity along the main Copala structure. Additionally, some of these holes also intercepted high-grades on Copala 3, which sits between 10-45 metres to the east of Copala main, on the hanging-wall side of the structure. The Copala 3 vein is demonstrating good continuity with many holes having previously intercepted the structure, as shown by the blue pierce points in Figure 3. The high grades seen in Copala 3, may contribute to a further improved, overall grade profile as more resources are converted to higher confidence categories in the central portion of Copala. Vizsla plans to complete its ongoing ~10,000 infill program by mid to late July. Based on the results received, Vizsla is analysing additional drilling metres to continue upgrading and expanding mineral resources in high priority areas at Copala.

About the Panuco Project
The newly consolidated Panuco silver-gold project is an emerging high-grade discovery located in southern Sinaloa, Mexico, near the city of Mazatlán. The 17,856.5-hectare, past producing district benefits from over 86 kilometres of total vein extent, 35 kilometres of underground mines, roads, power, and permits.
The district contains intermediate to low sulfidation epithermal silver and gold deposits related to siliceous volcanism and crustal extension in the Oligocene and Miocene. Host rocks are mainly continental volcanic rocks correlated to the Tarahumara Formation.

Quality Assurance / Quality Control
Drill core samples were shipped to ALS Limited in Zacatecas, Zacatecas, Mexico and in North Vancouver, Canada for sample preparation and for analysis at the ALS laboratory in North Vancouver and rock samples were shipped to SGS Lab in Durango Mexico for sample preparation and analysis. The ALS Zacatecas, North Vancouver facilities and SGS lab are ISO 9001 and ISO/IEC 17025 certified. Silver and base metals were analyzed using a four-acid digestion with an ICP finish and gold was assayed by 30-gram fire assay with atomic absorption (“AA”) spectroscopy finish. Over limit analyses for silver, lead and zinc were re-assayed using an ore-grade four-acid digestion with AA finish.
Control samples comprising certified reference samples, duplicates and blank samples were systematically inserted into the sample stream and analyzed as part of the Company’s quality assurance / quality control protocol.

Vizsla Silver Announces Shareholder Approval at Special Meeting
Vancouver, British Columbia (June 17, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce that Vizsla Silver shareholders (“Shareholders”) approved the plan of arrangement (the “Arrangement”) with Vizsla Royalties Corp. (“Spinco”) at the special meeting of Shareholders held today (the “Meeting”).
Under the Arrangement, the owners of common shares of Vizsla Silver (each a “VZLA Share”) are entitled to receive one-third of a common share of Spinco and one-third of a common share purchase warrant of Spinco for each VZLA Share held immediately prior to the closing of the Arrangement. Following the Arrangement, Spinco will no longer be a wholly owned subsidiary of Vizsla Silver.
Shareholders voted a total number of 101,847,455 Vizsla Silver shares representing 43.69% of the outstanding shares present in person or represented by proxy at the Meeting held today.
The Arrangement was approved by 85.03% of the votes cast by Shareholders.
Shareholders also approved the share option plan of the Spinco (the “Spinco Option Plan”) at the Meeting. The Spinco Option Plan was approved by 69.16% of the votes cast by Shareholders.
The Company intends to make an application to the Supreme Court of British Columbia (the “Court”) for a Final Order on June 19, 2024.
On June 11, 2024, the Company announced that it anticipated that June 21, 2024, would be the record date, and that Shareholders of record on such date will be entitled to receive Spinco securities. The Company wishes to clarify that the Transaction is an “Effective Date” transaction. Accordingly, Shareholders of record as of the close of business on the last trading day immediately prior to the Effective Date, which last trading day is currently expected to be on or about June 21, 2024, will receive Spinco securities.

(TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) wants to remind its valued shareholders that if the spinout of Vizsla Royalties Corp. (the “Arrangement”) is approved at the Special Meeting being held on June 17, 2024, the Company will seek a final order from the Supreme Court of British Columbia (the “Court”) to approve the Arrangement and closing will occur on or about June 24, 2024. It anticipates that June 21, 2024, will be the record date (the “Record Date”), which shareholders of record will be entitled to receive spinout shares and spinout warrants.
The owners of common shares of Vizsla Silver (each a “Vizsla Silver Share”) are entitled to receive one-third of a common share of Vizsla Royalties Corp. (the “Spinco Shares”) and one-third of a common share purchase warrant of Vizsla Royalties Corp. (the “Spinco Warrants”) for each Vizsla Silver Share held on the Record Date. Each full Spinco Warrant will entitle the holder thereof to purchase one Spinco Share at an exercise price of $0.05 per share for a period expiring on the earlier of: (i) 120 days after the date the Spinco Shares and Spinco Warrants are listed on the TSX Venture Exchange (the “TSXV”); and (ii) December 31, 2025.
Current Holders of Vizsla Silver Corp. Warrants
For any current outstanding Vizsla Silver Corp. Warrants (“Vizsla Silver Warrants”) held on the Record Date that are exercised for the original exercise price following the completion of the Arrangement, the Warrantholder will be entitled to receive, and will accept (in lieu of the Vizsla share to which such Warrantholder was until then entitled), one New Vizsla Silver share and one-third of one SpinCo Share. Any fractional entitlements to SpinCo Shares will be rounded down, and no fractional SpinCo Shares will be issued.
Any Warrantholders that exercise their warrants before June 20, 2024, to receive the Vizsla Silver Shares and holds those shares on the Record Date, will receive one-third of a common share of a Spinco Share and one-third of a common share purchase warrant of a Spinco Warrant. Post-Arrangement Matters
Immediately after completion of the Arrangement, shareholders of Vizsla Silver are expected to hold approximately 45% of the issued and outstanding Spinco Shares, while Vizsla Silver will retain the remaining approximately 55%.
Spinco has made an application to list the Spinco Shares and Spinco Warrants on the TSXV. There is no guarantee when, or if, such listings will be completed. Such listings will be subject to Spinco fulfilling all of the listing requirements of the TSXV.
Following closing of the Arrangement, Vizsla Silver and Spinco intend to complete a number of steps, including the following (collectively, the “Post-Closing Steps”): (a) the parties will settle an outstanding loan from Vizsla Silver into Spinco Shares, (b) Vizsla Silver will make an additional $3,500,000 loan to Spinco, (c) Spinco will exercise its buyback right on an underlying royalty on the Panuco Project, after which point the royalty held by Spinco will consist of a 2% net smelter returns royalty on the entire Panuco Project, (d) Spinco will complete a private placement for gross proceeds of at least $3,000,000, and (e) Spinco will complete a consolidation of the Spinco Shares on the basis of one new Spinco Share for every ten old Spinco Shares.
Vizsla Silver and Spinco have entered into a royalty right agreement which provides that, if Vizsla Silver or any of its affiliates acquires any a mineral property within a two-kilometer boundary around the Panuco Project, it must offer Spinco a net smelter returns royalty on such mineral property to Spinco on terms proposed by Vizsla Silver.

Vizsla Silver Mails Management Information Circular in Connection with Special Meeting to Approve Spinout of Vizsla Royalties
Vancouver, British Columbia (May 22, 2024) – Vizsla Silver Corp. VIZSLA SILVER TO ACQUIRE LARGE CLAIM PACKAGE ALONG HIGHLY PROSPECTIVE STRUCTURAL TREND, SOUTH OF PANUCO
Vancouver, British Columbia (April 16, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce that it has entered into an agreement to acquire two large claims comprising 10,667.0 Ha (the “El Richard – San Enrique claims” or “San Enrique prospect”) located south and partially adjacent to the Company’s Panuco project (the “Panuco Project” or “Panuco”). The San Enrique prospect is situated along the highly prospective Panuco – San Dimas corridor and is covered 100% with LiDAR and partially covered with high-resolution aero-magnetic and radiometric surveys.
Highlights
Large property package comprised of 10,667 Ha just south of Panuco (almost 50% larger than Panuco).
The area is covered with a LiDAR survey and partially covered (~60%) with high-resolution air magnetic and radiometric surveys.
The prospect contains dome complexes and covers the SE extensions of the NW trending Copala fault and Cordon del Oro - Animas veins.
Preliminary recognizance mapping in the NE has identified favourable andesite lithologies, quartz veining and breccias.
The area has never been systematically mapped and prospected.

About the San Enrique prospect
The San Enrique prospect area is adjacent to the southern boundary of the Panuco project. The prospect comprises two titled mining claims covering 10,667.0 Ha (El Richard with 3,688.6 Ha and San Enrique with 6,978.4 Ha) in the emerging silver-gold-rich Panuco – San Dimas corridor with estimated past production plus current resources and reserves of 1.2-Boz Ag and 15-Moz Au (Figure 2).
The LiDAR and mag survey from the San Enrique prospect show strong NW-trending lineaments, indicative of regional faults and fractures. Two of these lineaments are aligned and seem to be the SE extensions of the Copala fault and the Cordon del Oro - Animas vein structures in Panuco (Figure 3). The main lithologies identified to date are predominantly rhyolite domes which produce strong magnetic anomalies in the north, and felsic flows and tuffs (rhyolites and dacites). Recent 40Ar/39Ar age dating on adularia separates from veins in Panuco project indicates that epithermal mineralization post dates felsic volcanism in the area. Additionally, preliminary recognizance mapping in the northeast has revealed the presence of andesite tuffs and flows, quartz veining and breccia structures. The Santa Fe mine is located three kilometres south of San Enrique, is owned and operated by Inca Azteca Gold and is a small scale mine producing high-grade silver and gold from a NW trending epithermal vein. This supports the hypothesis that the NW trending structures within San Enrique have the potential to host additional veins yet to be discovered.
The San Enrique prospect contains several indicators that suggest it is a highly prospective area, namely: location (Panuco – San Dimas corridor), high-grade deposits immediately north (Copala and Panuco), structural controls (southeast extensions of the Copala fault and Cordon - Animas lineament), domes and an operating mine to the south along another NW regional fault (Santa Fe mine, Inca Azteca).
Vizsla Silver is in the process of acquiring a multispectral World View III satellite image covering the whole Panuco and San Enrique claims to speed up the target generation process. Furthermore, the Company intends to conduct regional recognizance-mapping and a stream-sediment geochemical survey at San Enrique in the near future.
Terms of the Acquisition
The Company entered into an asset purchase agreement (the “Acquisition Agreement”) dated March 5, 2024, with Inca Azteca Gold S.A.P.I. de C.V. (the “Seller”) and the Company’s wholly owned subsidiary, Minera Canam, S.A. de C.V. (“Minera Canam”) pursuant to which the Company agreed to acquire, through Minera Canam, all of the Seller’s right, title and interest in and to the mineral concessions (the “Acquisition”).
Pursuant to the Acquisition Agreement, the Company has agreed to issue an aggregate of US$650,000 in common shares in the capital of the Company, at the exchange rate and market price applicable on the effective date (collectively, the “Consideration Shares”) plus any applicable value added tax to the Seller. VANCOUVER, BC, March 27, 2024 /CNW/ - Vizsla Silver Corp. (TSXV: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) ("Vizsla Silver" or the "Company") is pleased to announce that it has executed an arrangement agreement with Vizsla Royalties Corp. ("Vizsla Royalties"), whereby the business of the Company will be reorganized into two companies by way of a plan of arrangement (the "Arrangement") under the Business Corporations Act (British Columbia). Vizsla Silver shareholders will vote on the Arrangement at a special meeting of shareholders ("Meeting") to be held on a date to be announced. To be effective, the Arrangement must be approved by a special resolution passed by at least 66?% of the votes cast by Vizsla Silver shareholders present in person or represented by proxy at the Meeting, which shareholders are entitled to one vote for each Vizsla Silver share held.

The Arrangement involves, among other things, the distribution of common shares (the "Vizsla Royalties Shares") and warrants of Vizsla Royalties (the "Vizsla Royalties Warrants") to Vizsla Silver shareholders such that each shareholder as of a particular date, immediately prior to closing of the transaction (the "Record Date") will receive 1/3 of a Vizsla Royalties Share and 1/3 of a Vizsla Royalties Warrant for each common share of Vizsla Silver (the "Vizsla Silver Shares") held as of the Record Date. Vizsla Silver warrants will also be adjusted and Vizsla Silver options will be replaced pursuant to the Arrangement as described in more detail in the information circular ("Circular") that will be mailed to shareholders prior to the Meeting.
After careful consideration, the Board of Directors has unanimously determined that the Arrangement is fair to shareholders and is in the best interests of the Company. A description of the various factors considered by the Board of Directors in arriving at this determination will be provided in the Circular.
ATM Program
The Company also announces that it has entered into an equity distribution agreement (the "Distribution Agreement") with Canaccord Genuity Corp. ("Canaccord Genuity") and filed a Prospectus Supplement (as defined below) in respect of an at-the-market equity program (the "ATM Program").
The ATM Program allows the Company to issue and sell up to C$50,000,000 of Vizsla Silver Shares from treasury to the public, from time to time, through Canaccord Genuity, at the Company's discretion and in accordance with the terms and conditions of the Distribution Agreement. All Vizsla Silver Shares issued under the ATM Program will be sold in transactions that are deemed to be "at-the-market distributions" as defined in National Instrument 44-102 – Shelf Distributions, including sales made directly on the TSX Venture Exchange or on any other "marketplace" (as defined in National Instrument 21-101 – Marketplace Operation) in Canada, and/or any other method permitted by applicable law, at the prevailing market price at the time of sale and, as such, prices may vary among purchasers during the period of the ATM Program.

The ATM Program will be effective until the earlier of the date on which (i) the issuance and sale of all of the Vizsla Silver Shares issuable pursuant to the ATM Program have been completed, and (ii) the receipt issued for the Shelf Prospectus (as defined below) ceases to be effective, unless earlier terminated prior to such date by the Company or Canaccord Genuity in accordance with the terms of the Distribution Agreement. VANCOUVER, British Columbia, Feb. 21, 2024 (GLOBE NEWSWIRE) -- Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce that it has entered into an agreement with PI Financial Corp. as sole bookrunner and lead underwriter, on its own behalf and on behalf of a syndicate of underwriters (the “Underwriters”), pursuant to which the Underwriters have agreed to purchase, on a “bought deal” basis, 20,000,000 common shares (the “Shares”) of the Company at a price of $1.50 per Share for aggregate gross proceeds of $30,000,000 (the “Offering”), excluding additional proceeds raised from the exercise of the Over-Allotment Option (defined below).
The Company has agreed to grant the Underwriters an option to cover over-allotments (the “Over-Allotment Option”), which will allow the Underwriters to purchase up to an additional 15% of the Shares sold pursuant to the Offering, on the same terms as the Offering. The Over-Allotment Option may be exercised in whole or in part at any time, for a period of 30 days after the Closing Date (as defined herein).
The net proceeds from the Offering will be used to advance the exploration, drilling and development of the Company’s Panuco Project, as well as for working capital and general corporate purposes. The Shares will be offered in each of the provinces and territories of Canada (other than the Province of Quebec) by way of a prospectus supplement to the Company’s base shelf prospectus dated March 31, 2023, which will be filed with the securities regulators in each of the provinces and territories of Canada, and may also be offered by way of private placement in the United States and such other jurisdictions as agreed between the parties.
The closing of the Offering is anticipated to occur on or about February 29, 2024 (the “Closing Date”) and is subject to certain conditions including, but not limited to, the receipt of all necessary regulatory approvals, including the acceptance of the TSX Venture Exchange.

The mineral resource estimate includes indicated mineral resources of 88.2 million ounces (“Moz”) of silver, 736 thousand ounces (“koz”) of gold, 25.4 kilotonnes (“kt”) of lead, and 79.9 kt of zinc (155.8 Moz AgEq). The inferred mineral resource is estimated at 12.2 Mt grading 239 g/t silver, 1.93 g/t gold, 0.29% lead, and 1.03% zinc (433 g/t AgEq). The mineral resource estimate includes inferred mineral resources of 93.7 Moz of silver, 758 koz of gold, 35.4 kt of lead, and 125.3 kt of zinc (169.6 Moz AgEq). Silver equivalent is calculated using the following formula: AgEq = Ag ppm + (((Au ppm x Au price/gram) + (Pb% x Pb price/t) + (Zn% x Zn price/t))/Ag price/gram). Metal price assumptions are $24.00/oz silver, $1,800/oz gold, $2,425/t lead and $2,976/t zinc.

VIZSLA SILVER ANNOUNCES UPDATE ON ROYALTY SPINOUT
Vancouver, British Columbia (February 12, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce that, further to its news release dated January 17, 2024, it intends to enter into an arrangement agreement with its wholly-owned subsidiary Vizsla Royalties Corp. (“Spinco”) within 45 days of this news release in respect of the spinout of the shares of Spinco to the Company’s shareholders (the “Spinout”). Spinco currently holds, indirectly, a net smelter royalty on any future mineral production at Vizsla Silver’s flagship, 100% owned Panuco silver-gold project located in Mexico.
The Company further announces that holders of its common shares (the “Vizsla Silver Shares”) will be entitled to 1/3 of a common share of Spinco and 1/3 of a common share purchase warrant of Spinco for each Vizsla Silver Share held on the share distribution record date.

(TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce Simon Cmrlec will be joining Vizsla Silver as Chief Operating Officer (“COO”). Mr. Cmrlec is a highly experienced senior engineer with over 30-years of industry experience who has been a director of Vizsla Silver since its formation and has most recently held the position of Chief Operating Officer of Ausenco, a global mining engineering and consulting firm. He has extensive experience in building mining projects around the world and across a number of different commodities and will be tasked with advancing Vizsla Silver’s world-class Panuco silver-gold Project towards production, with the goal of becoming one of the world’s largest single-asset silver producers. Mr. Cmrlec commences the role on April 1, 2024.

Mr. Cmrlec began his career with Western Mining Corporation (WMC) at its Olympic Dam Mine in South Australia where he held several technical and operations roles. He was an Owners Representatives for the Olympic Dam Expansion Project (ODP) where he supported the design, construction and commissioning of the Smelter and Hydrometallurgical facilities. Following the completion of the ODP project Mr. Cmrlec joined Kvaerner and was involved in the construction and commissioning of various base metals, iron ore and gold projects in the US, South America, Middle East and South Africa. In 2001, he joined Inco on the Goro Nickel project in New Caledonia as the Project Manager responsible for the Refinery facility. Mr. Cmrlec held a number of roles on the Goro Nickel project including Senior Project Manager and Construction director in his eight years there. Mr. Cmrlec joined Ausenco in 2009 as the Manager, Project Delivery before assuming the role of President APAC/Africa. In 2015, Mr. Cmrlec moved to Canada and became Ausenco’s President North America before transitioning to President Americas in 2017 and the Chief Operating Officer in 2019.
Mr. Cmrlec graduated with a B.Eng (Hons) in Metallurgical Engineering from the Gartrell School of Mining, Metallurgy and Applied Geology at the University of South Australia in 1994.
Mr. Cmrlec will replace Martin Dupuis, who is no longer with the Company. We want to thank Mr. Dupuis for his many contributions, which have helped advance the Panuco project through its maiden resource and two subsequent resource updates.

VIZSLA SILVER TO SPIN OUT NET SMELTER
ROYALTY TO SHAREHOLDERS
Vancouver, British Columbia (January 17, 2024) – Vizsla Silver Corp. (TSX-V: VZLA) (NYSE: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce its intention to spin out the shares of Vizsla Royalties Corp. (“Vizsla Royalties”), a wholly-owned subsidiary of Vizsla Silver, to the Company’s shareholders (the “Spinout”). Vizsla Royalties currently holds, indirectly, a net smelter royalty (the “Royalty”) on any potential future mineral production at Vizsla Silver’s flagship, 100% owned Panuco silver-gold project located in Sinaloa, Mexico (the “Project” or “Panuco”).
The Royalty consists of: (i) a 2.0% net smelter return royalty on certain unencumbered concessions comprising the Project; and (ii) a 0.5% net smelter return royalty on certain encumbered concessions comprising the Project which have a pre-existing 3.0% net smelter return royalty (the “Underlying Royalty”).
Vizsla Silver is also expected to: (i) transfer to Vizsla Royalties the right to purchase one-half of the 3% Underlying Royalty; (ii) grant Vizsla Royalties the right to acquire a royalty on any future projects acquired by Vizsla Silver in the 24-month period after completion of the Spinout, which right would automatically terminate upon a change of control of Vizsla Royalties or Vizsla Silver and (iii) make a cash injection into Vizsla Royalties.
It is expected that the Spinout will be completed pursuant to a plan of arrangement under the Business Corporations Act (British Columbia). The Spinout would be subject to shareholder, court, stock exchange and regulatory approvals, as well as, at management’s continued discretion. Pursuant to the Spinout, common shares of Vizsla Royalties would be distributed to shareholders of Vizsla Silver. Vizsla Silver is expected to hold approximately a 49% ownership interest in Vizsla Royalties, with the remaining shares of Vizsla Royalties being distributed to shareholders of Vizsla Silver on a pro-rata basis at a time to be determined by the board of directors of Vizsla Silver. There will be no change in shareholders’ holdings in Vizsla Silver as a result of the Spinout.
Subsequent to completion of the Spinout, the board of directors of Vizsla Royalties (the “Vizsla Royalties Board”) may decide to pursue a listing on the TSX Venture Exchange if and when the Vizsla Royalties Board determines it is in the best interests of the Vizsla Royalties shareholders. It is expected that, at the time Vizsla Royalties pursues a listing on the TSX Venture Exchange, a majority of the members of its management team and the Vizsla Royalties Board will be independent of Vizsla Silver.
Additional details regarding the Spinout, including the proposed record date, will be provided as they become available. There is no certainty Vizsla Silver will proceed with the Spinout.

The newly consolidated Panuco silver-gold project is an emerging high-grade discovery located in southern Sinaloa, Mexico, near the city of Mazatlán. VIZSLA SILVER ANNOUNCES SIGNIFICANT INCREASE IN CONTAINED OUNCES AND INCREASE IN GRADE OF INDICATED CATEGORY TO 551 G/T AGEQ IN UPDATED MINERAL RESOURCES ESTIMATE
Vancouver, British Columbia (January 8, 2024) – Vizsla Silver Corp. (NYSE: VZLA) (TSX-V: VZLA) (Frankfurt: 0G3) (“Vizsla Silver” or the “Company”) is pleased to announce an updated mineral resource estimate (“Updated Mineral Resource Estimate”) for its flagship, 100% owned Panuco silver-gold project (the “Project” or “Panuco”) located in Sinaloa, Mexico. The Updated Mineral Resource Estimate was completed by Allan Armitage, Ph.D., P.Geo., of SGS Geological Services.

Indicated Mineral Resources are estimated at 9.5 million tonnes (“Mt”) grading 289 grams per tonne (“g/t”) silver, 2.41 g/t gold, 0.27% lead, and 0.84% zinc (511 g/t silver equivalent (“AgEq”)). The Updated Mineral Resource Estimate includes indicated mineral resources of 88.2 million ounces (“Moz”) of silver, 736 thousand ounces (“koz”) of gold, 25.4 kilotonnes (“kt”) of lead, and 79.9 kt of zinc (155.8 Moz AgEq).
Inferred Mineral Resources are estimated at 12.2 Mt grading 239 g/t silver, 1.93 g/t gold, 0.29% lead, and 1.03% zinc (433 g/t AgEq). The Updated Mineral Resource Estimate includes inferred mineral resources of 93.7 Moz of silver, 758 koz of gold, 35.4 kt of lead, and 125.3 kt of zinc (169.6 Moz AgEq).
The Updated Mineral Resource Estimate is centred on the western portion of Panuco, encompassing ~8 km of the known 86 km of cumulative vein strike in the district. The Updated Mineral Resource Estimate includes 178 new infill/expansion holes (100,222 metres) completed by Vizsla Silver between September 2022 and September 2023. In total, the Updated Mineral Resource Estimate is based on a total drill database of 822 holes (302,931 metres) completed by Vizsla Silver since November 2019.

The bulk of this year’s resource growth came from the Napoleon Area, largely driven by the inclusion of La Luisa, which added an additional 25Moz AgEq in inferred mineralization.”

The classification of the Updated Mineral Resource Estimate into indicated and inferred mineral resources is consistent with current 2014 CIM Definition Standards for Mineral Resources and Mineral Reserves. The effective date for the Updated Mineral Resource Estimate is September 1, 2023.

All mineral resources are presented undiluted and in situ, constrained by continuous 3D wireframe models, and are considered to have reasonable prospects for eventual economic extraction.

An Inferred Mineral Resource has a lower level of confidence than that applying to an Indicated Mineral Resource and must not be converted to a Mineral Reserve. The database comprises a total of 822 drill holes for 302,931 metres of drilling completed by Vizsla Silver between November 2019 and September 2023.
The mineral resource estimate is based on 28 three-dimensional (“3D”) resource models, constructed in Leapfrog, representing the Napoleon area (15 wireframes), the Copala area (7 wireframes), Tajitos (1 wireframe), Animas (5 wireframes) and San Antonio (1 wireframe).
Silver, gold, lead and zinc were estimated for each mineralization domain in the Panuco Project. Blocks within each mineralized domain were interpolated using 1.5 metre capped composites assigned to that domain. To generate grade within the blocks, the inverse distance squared (ID2) interpolation method was used for all domains. All estimates are based on variable block dimensions (by deposit area) and estimation search parameters (by domain).
Average density values were assigned per zone based on 1,919 samples analysed by ALS in Zacatecas, Mexico or inhouse with 5% checks by ALS.
It is envisioned that the Panuco Project deposits may be mined using underground mining methods. Mineral resources are reported at a base case cut-off grade of 150 g/t AgEq. The mineral resources grade blocks were quantified above the base case cut-off grade, below surface and within the constraining mineralized wireframes.
The base-case AgEq Cut-off grade considers metal prices of $24.00/oz Ag, $1800/oz Au, $2425/t Pb and $2976/t Zn and considers metal recoveries of 93% for silver, 90% for gold, 94% for Pb and 94% for Zn.
The base case cut-off grade of 150 g/t AgEq considers a mining cost of US$45.00/t rock and processing, treatment and refining, transportation and G&A cost of US$50.00/t of mineralized material.
The Updated Mineral Resource Estimate may be materially affected by environmental, permitting, legal, title, taxation, socio-political, marketing, or other relevant issues.
The Company remains well-funded for its ongoing +65,000 metre 2024 drill program with four drill rigs designed to upgrade and expand the Project’s resource base and test high priority targets located in the west, central and eastern areas of the district. Dependent on ongoing exploration success, the Company plans to publish a further update to the Updated Mineral Resource Estimate in the second half of 2024.
Discovery Costs
To date, the Company has incurred an aggregate of approximately US$103.0 million in exploration expenditures over the life of the Project. This equates to an estimated discovery cost per silver equivalent ounce of US$0.32 for resources defined in the Updated Mineral Resource Estimate.
About the Panuco project
The newly consolidated Panuco silver-gold project is an emerging high-grade discovery located in southern Sinaloa, Mexico, near the city of Mazatlán. The 7,189.5 hectare, past producing district benefits from over 86 kilometres of total vein extent, 35 kilometres of underground mines, roads, power, and permits.
The district contains intermediate to low sulfidation epithermal silver and gold deposits related to siliceous volcanism and crustal extension in the Oligocene and Miocene. Host rocks are mainly continental volcanic rocks correlated to the Tarahumara Formation.

Quality Assurance / Quality Control
Drill core and rock samples were shipped to ALS Limited in Zacatecas, Zacatecas, Mexico and in North Vancouver, Canada for sample preparation and for analysis at the ALS laboratory in North Vancouver. The ALS Zacatecas and North Vancouver facilities are ISO 9001 and ISO/IEC 17025 certified. Silver and base metals were analyzed using a four-acid digestion with an ICP finish and gold was assayed by 30-gram fire assay with atomic absorption (“AA”) spectroscopy finish. Over limit analyses for silver, lead and zinc were re-assayed using an ore-grade four-acid digestion with AA finish.
Control samples comprising certified reference samples, duplicates and blank samples were systematically inserted into the sample stream and analyzed as part of the Company’s quality assurance / quality control protocol.

ON THE COPALA AND COPALA 2 STRUCTURES

mineralization by ~100m to the southeast and identified new vein splays situated in-between Copala and
the high-grade Cristiano structure.

precious metals structure well beyond the January 2023 resource boundary,” commented Michael

The precious metals dominant Copala Structure, located in the western portion of the Panuco district, is
situated ~800 m to the east of the Napoleon vein. Copala currently hosts Indicated Resources of 51.1 Moz
AgEq at 516 g/t AgEq and Inferred Resources of 55.4 Moz AgEq at 617 g/t AgEq within a broad envelope
of vein-breccia interlayered with host rock, up to 82 metres thick. Interpretations by Vizsla geologists
indicate Copala has an average dip of ~46° to the east (~35° in its northern sector and steepening to ~52°
in the southern sector).
Ongoing drilling at Copala has now traced mineralization along ~1,770 metres of strike length and ~400
metres down dip. The recently completed batch of resource expansion drilling consisted of 21 holes drilled
at ~50 m and ~100 m centres in the southern extent of Copala and one hole in the north, targeting both
the main Copala structure and the Copala 2 vein to the footwall. At Copala, hole CS-23-300 in the north,
intercepted a broad mineralized structure (~30 mTW) consisting of two high grade zones enveloping a low
grade stockwork zone carrying anomalous silver and gold grades throughout (see cross section on figure
5). Results from seven step-out holes in the south show that the Copala structure gets steeper at depth
(~70°) and develops vein splays carrying significant silver and gold grades. The recently interpreted Copala
4 and FW Splay vein sit between Cristiano and Copala, approximately 100 m and 50 m west of Copala,
respectively. To date, drilling has traced Copala 4 approximately 300 m along strike and 400 m down dip
whereas the FW Splay has been traced for ~350 m along strike and 250 m down dip. The vein splays strike
at 15° to 35° due northwest and dip at 60° to 70° to the east. These new splays, like Cristiano, are relatively
narrow compared to the main Copala structure, and host precious metals rich epithermal mineralization.
The drilling completed in the southern extent of Copala was designed to explore and/or infill the Copala
structure. Due to geometry those holes could not efficiently test the projection of the Cristiano vein, which
remains an open target. Vizsla is preparing an exploration program for next year that will consider
additional exploration on the southern extent of Cristiano and the newly identified splays.
The Copala 2 vein sits at the footwall of the main Copala structure and is bounded to the west by the
Tajitos vein and to the east by the Copala Fault. The Vein strikes northeast, dips to the southeast at
approximately 48° and has been traced for ~330 metres along strike and ~290 metres down dip. Refer to

To date, Vizsla has completed ~89,800 m of its fully funded 90,000 m 2023 drill program.

Details of the La Luisa vein discovery
The La Luisa Vein is located approximately 700 metres to the west of Napoleon in the southwest portion of the Panuco district. The structure has been mapped on surface for approximately 1,500 metres with an average strike of N30°W and dip of 70° - 80° to the northeast. La Luisa does not currently host any resources. To date including this release, Vizsla Silver has reported 33 holes from La Luisa outlining a mineralized footprint approximately 700 metres along strike by 400 metres down dip with a weighted average grade of 449 g/t AgEq (175 g/t silver, 3.40 g/t gold, 0.28 % lead and 1.33 % zinc) and average width 3.07 mTW. The upper level of the vein are hosted primarily by rhyolite tuffs (the upper part of the regional lower volcanic sequence), whereas deeper vein-intercepts occur in the more favourable diorite host rock.
Initial shallow drilling at La Luisa returned significant gold concentrations with relatively low silver and base metals values. The higher gold to silver and base metals ratios observed are analogous to the previously reported shallow "gold rich" horizon at the southern end of Napoleon. Interpretations based on metal zonation and alteration at Napoleon suggest that the vein corridor has been tilted, with the southern extent being at the top of the mineralized horizon, near surface (see the Company's press releases dated December 16, 2021, and October 12, 2022, respectively). Deeper drilling at La Luisa, including holes NP-23-394 and NP-23-395 intercepted wider vein mineralization marked by an increase in lead and particularly zinc concentrations.
Recent surface mapping and sampling along strike to the northwest at La Luisa has confirmed a wider vein expression with higher silver and gold anomalies at surface (see surface samples on figure 2). Surface sampling and mapping support the hypothesis that mineralization is tilted to the southeast in a similar fashion to Napoleon. Vizsla recently completed two shallow holes in the northwest, which intercepted the vein structure between 100 and 150 metres below surface (NP-23-399 and NP-23-401, assays pending), thus confirming our exploration model. Vizsla Silver is currently exploring La Luisa with two drill rigs, one continues in the south expanding the vein at depth and the second rig is in the north exploring for high-grade mineralization closer to surface.
