BTW, did Easterling exchange his rights to his former NSH shares for SHMP common shares? I submit the answer is a resounding "NO". Any guesses as to why he didn't?

Mr. I know nothing is back who has once again held his reputation in tact.

On August 21, 2018, the Company entered into a Stock Exchange Agreement (the “Exchange Agreement”) with NaturalShrimp Holdings, Inc. (“NaturalShrimp”), the Company’s majority shareholder, which is controlled by the Company’s CEO and President. Pursuant to the Exchange Agreement, the Company and NaturalShrimp exchanged 75,000,000 shares of common stock for 5,000,000 shares of Series A Stock. The 75,000,000 shares of common stock will be cancelled and returned to the authorized but unissued shares of common stock of the Company.

That is from the 8K that the company filed. They gave up their 75,000,000 shares for the Series A. That transaction was done for 2 reasons.

1. The company was running out of authorized.
2. A proxy would have taken too long so a fugazy transaction was done.
3. Once the Series A was created, a proxy was no longer required.

Congratulations. You are now wrong 88 times in a row which is a new record.

It is a fact. However, there are competing facts.

It's also a fact that the Series A were created as a legal vehicle to hold 75 million shares of NSI for NSH shareholders. And, it is also a fact that NSH shareholders were granted a legal right by court order to receive approximately 90 million shares of NSI. Therefore, using logic, there's a fact that the Series A no longer serve a legal purpose. Consequently, they may factually exist on paper, or even as paper, but they may not have any legal effect.

For example, you could have a stock certificate for WAMU. It's a fact you have a share of WAMU. It's also a fact that WAMU no longer exists as a legal entity. Therefore, your WAMU stock certificate has zero legal effect... it's worthless.

Ultimately I agree with Josh, any actions by NSI management which rely on the Series A, may not be legitimate actions. Someone with standing may be able to challenge those actions.

Remember, NSI could not start selling Shrimp from Homegrown's PL's until at least October 2023. Therefore, "SHMP sold less shrimp this year than last year" is not necessarily fact.

SHMP gets more done with each passing quarter and FY.

Quick takeaways from this evening's awful 10-K...

SHMP sold LESS shrimp this year than it did last year.

SHMP doesn't expect full production at LaCosteUknown until January 2025 and Iowa until SEPTEMBER 2025. And only then...after spending more than 50% of it's current market cap to get there.

No mention of the ever getting any money out of YOTA over termination of the merger agreement. Once again...SHMP was all talk on that one.

SHMP does not process shrimp at LaCosteUnknown or Iowa, meaning that if SHMP is selling heads-off shrimp, it's paying someone to process those shrimp.
