Robepp. It seems this investment is dead after Frank Celecia the Scammer sold the company "idea" to change it to Hemp production. I think the SEC is currently investigating them. If I were you, I'd file a SEC Complaint to ensure these individuals are dealt with.

Hi, does anyone know if we have lost our investment money with OrgHarvest? Is this company going to file bankruptcy? This company initially sounded like it was investment worthy when I invested through TruCrowd. Can anyone help me with answers as I can't seem to reach anyone in the company. Thx

This is over. I was one of the early investors from the Fundanna crowdfunding site and it actually showed promise. I should have known after the scammer Frank Celecia sold the company it was downhill. We never received any update from the new owners. Why would you completely sell a concept that huge before it started. I hope the SEC hammers them.

I have been offered a consulting contract to help get the company back on track. I have not accepted as of this writing. But, I love the company brand and business model and have a large position in the stock.
SO, even though I have been enjoying the peace and quiet, I will help in any way possible. Once I have more info I will recommend the company update the public.

In reply to "ORGH" those are all good questions. I stepped down in January after the stock swap and began to enjoy my retirement. When the SEC slammed the company and suspended trading. Well, we found out a whistleblower that apparently did not get stock in the sale from the new management. He went to the SEC and made untrue allegations.
The SEC issued subpoenas to the new management and questioned the 50 million dollar valuation of ZONA shares.
To date, the SEC has accepted the valuation for ZONA shares and has found no violations regarding the subpoenas.
The company needs to have a broker generate a 15 C211 to reemerge and trade. The company is in the hemp CBD business and for more info go to www.orgharvest.us

Why? I don't get it...ORGH did a share exchange with Zona Energy....what's wrong with that? In the first PR they said those shares were valued at $20....and then issued a corrected news article with that price not included.

SEC says they did it cause of 'questions' about that share exchange PR.

Not much money involved trading wise..... DDAmanda says she traded $64K on 5-29, which was a 100 Day High.....

SO.....hardly any money trading.....

Did somebody bitch to the SEC???

Why would they bother with so little money involved.

I like the confidence that ORGH management is demonstrating with all of their recent news, including the latest announcement to increase the minimum accepted investment of their Reg. A+ Offering, from $1,000 to $5,000. This should bring in considerably more capital to advance the highly promising business plans here.

Note the comments from the CEO:

Frank Celecia, CEO of OrgHarvest, stated, "Once again, we believe that should regulation around cannabis and hemp continue to loosen, as we have just seen with the MORE Act (Marijuana Opportunity Reinvestment and Expungement Act), the value proposition of this transaction could be a real win for OrgHarvest and its shareholders. It's important for us to maintain the integrity of our new relationship with a view to minimize dilution where possible. This of course, while still leveraging the JOBS Act [Title IV]; giving as many people as possible, the opportunity to invest in an emerging U.S.-based cannabis cultivation company."

LAS VEGAS, NV / ACCESSWIRE / December 13, 2019 / OrgHarvest, Inc., "OrgHarvest" or the "Company" (OTC PINK:ORGH), the first U.S.-based cannabis cultivation company to achieve a Regulation A+ qualification, announced today, that in light of the Company entering into a binding agreement to sell controlling interest of OrgHarvest in a considerably sized acquisition, management has determined it prudent to increase the minimum accepted investment of their Reg. ________________________________________________________________

Impulse Wave 1 - The Accumulation Stage
the Wave right after a prolonged downtrend.

Wave 1

The stock makes its initial move upwards.
This is usually caused
by a relatively small number of people
that all of the sudden
(for a variety of reasons, real or imagined)
feel that the price of the stock is cheap
so it’s a perfect time to buy.
This causes the price to rise.

Wave 2 - Stock Declines

At this point,
enough people who were in the original wave
consider the stock overvalued and take profits.
This causes the stock to go down.
However, the stock will not make it to its previous lows
before the stock is considered a bargain again

Wave 3

This is usually the longest and strongest wave.
The stock has caught the attention of the mass public.
More people find out about the stock and want to buy it.
This causes the stock’s price to go higher and higher.
This wave usually exceeds the high created at the end of Wave 1.

Wave 4

Traders take profits
because the stock is considered expensive again.
This Wave tends to be weak
because there are usually more people
that are still bullish on the stock
and are waiting to “buy on the dips.”

Wave 5

This is the point that most people get in on the stock,
and is mostly driven by hysteria.
You usually start seeing the CEO of the company
on the front page of major magazines
as the Person of the Year.
Traders and investors start coming up with
ridiculous reasons to buy the stock
and try to choke you when you disagree with them.

This is when the stock becomes the most overpriced.
Contrarians start shorting the stock
which starts the ABC pattern.

$ORGH First Seed Farms, Inc. to Purchase Controlling Interest in OrgHarvest

LAS VEGAS, Dec. 10, 2019 (GLOBE NEWSWIRE) -- via NetworkWire -- OrgHarvest, Inc., “OrgHarvest” or the “Company” (OTCMKTS: ORGH), the first U.S.-based cannabis cultivation company to achieve a Regulation A+ qualification, announced today that the Company has signed a binding agreement to sell controlling interest in the Company to First Seed Farms, Inc., a subsidiary of First Seed International, Inc., a company focused on hemp seed genetics, farm and ranch partnerships, cultivation, processing, manufacturing, private label and proprietary branding and distribution of hemp products and services.

“Just before the Thanksgiving holiday, I received approval from our Board of Directors to move forward with a binding agreement that would transfer controlling interest of OrgHarvest to First Seed Farms, Inc. and First Seed International, Inc.,” stated Frank Celecia, CEO of OrgHarvest. “We believe this could be a major opportunity for OrgHarvest.”

The acquisition will be made in an all stock purchase, where controlling interest of OrgHarvest is being transferred to First Seed Farms, Inc. and First Seed International, Inc (collectively, “First Seed”). Management suggests that with the support of First Seed, there would potentially be greater interest in ramping up funding to the Company. Additionally, with this transaction, the company has completed the sale of all the remaining shares in its Reg A+ plus offering of 80,000,000 shares.

The closing is scheduled for month-end, December 2019, and is anticipated to come to fruition timely. This would inevitably fast track the potential of the Company’s business model and should position OrgHarvest to become a major player within the cannabis and hemp industries as a U.S.-based cultivation operation.

Mr. Celecia concluded, “We are pleased that First Seed has identified OrgHarvest as the most suitable Company for them to pursue their cannabis and hemp endeavors with. We will work diligently to make this venture a huge success and will continue to provide shareholders with updates pertaining to this transaction and its overall value proposition.”

This is a Corrected and Restated Release Clarifying a previous PR entitled: Zona Energy Principal Shareholders Purchase Controlling Interest in OrgHarvest for $50 Million. The Company did announce it would make this correction via a PR entitled: OrgHarvest, Inc. Will Issue A corrected Press Release. Management is hopeful it has successfully clarified and addressed any errors or misinterpretations with this communication.

Very impressive news on ORGH today which will bring $50 million to the company and dramatically open up new opportunities in the emerging legal cannabis marketplace.

Note management comments from the announcement:

“Just before the Thanksgiving holiday, I received approval from our Board of Directors to move forward with a binding agreement, that would transfer controlling interest of OrgHarvest to First Seed Farms, Inc. and First Seed International, Inc. – the controlling shareholders of Zona Energy, Inc. – for $50 million,” stated Frank Celecia, CEO of OrgHarvest. “We believe this could be a major opportunity for OrgHarvest as the ultimate relationship would be with Zona Energy, who is set to do some very interesting things within the cannabis and hemp marketplace.”

The acquisition will be made in an all stock purchase, where controlling interest of OrgHarvest is being transferred to First Seed Farms, Inc. and First Seed International, Inc. for $50M in their Zona Energy, Inc. common stock holdings. Management suggests that with the support of Zona Energy and its principals, there would potentially be greater interest in ramping up funding to the Company.

While the closing is scheduled for month-end, December 2019, it is highly anticipated that the transaction will come to fruition timely. This would inevitably fast track the potential of the Company’s business model and should position OrgHarvest to become a major player within the cannabis and hemp industries, as a U.S. based cultivation operation.

TruCrowd Services Clients OrgHarvest and QwikLeaf Make Strides Admid House Judiciary Committees MORE Act
GlobeNewswire GlobeNewswire•December 9, 2019
CHICAGO, IL, Dec. 09, 2019 (GLOBE NEWSWIRE) -- via NEWMEDIAWIRE – TruCrowd Services, LLC., a specialized provider of digital marketing strategies and marketing services for Regulation A (Reg A+) and Regulation Crowdfunding (Reg CF) ventures, announced today, that on the heels of the House Judiciary Committee passing H.R. 3884, the MORE Act (Marijuana Opportunity Reinvestment and Expungement Act) QwikLeaf and OrgHarvest Inc. (ORGH) have made tremendous strides – both in operations and their leveraging of the JOBS Act – Title III and Title IV (Reg. CF and Reg. A+, respectively).

When asked to comment on the MORE Act, Frank Celecia, CEO of the first U.S. based cannabis cultivation company to qualify with the SEC for the Reg. A+ said, “the fact that the House Judiciary Committee overwhelmingly voted 24-10 to pass this Act, shows the progress being made in the U.S. cannabis industry. I believe we’re at the forefront of the most efficient way to grow cannabis. And, with our patents for certain agricultural biotechnology which protects the healthy growth of cannabis plants, I am very confident that our contribution to the U.S. cannabis marketplace will help to solidify a prosperous future for OrgHarvest.”

Neil Biafore, CEO of QwikLeaf, an innovator of the click and collect platform for cannabis, commented this regarding the MORE Act, “Marijuana and cannabis reform is directly in-front of us. The investment into the industry, as well as what this could do for those with past cannabis convictions would be incredible. If the U.S. Senate sees the same opportunity that the House of Representatives just saw, then we are truly on the cusp of changing history and I believe our QwikCollect platform will swiftly expand out of Michigan and across the country.”

The offerings for both companies can be found on the cannabis-focused securities crowdfunding portal, Fundanna. Fundanna.com is the home to such Reg. CF successes like Transatlantic Real Estate – exceeding $1M in capital raised, 420 Real Estate – currently $30k shy of exceeding $1M in committed capital, and one of the industry's larger Marijuana Social Networks, CannaSOS.

As previously announced, OrgHarvest secured licenses for Rhamnolipid Liposomes patents to help prevent diseases which currently plague cannabis and hemp plants, after entering into a license agreement with Keith DeSanto of Rhamnolipid Inc. QwikLeaf formed a partnership with Green Retail Ventures allowing for the creation of 10 recreational cannabis stores powered by QwikLeaf’s QwikCollect platform across Michigan.

Sean Fuellhart, Chief Operating Officer of TruCrowd Services, stated, “Companies like OrgHarvest and QwikLeaf make the marketing of Reg. CF and Reg. A+ cannabis offerings exciting. Whether the issuer is raising up to $1.07M on Reg. CF or up to $20M (Tier 1) and/or $50M (Tier 2) with Reg. A+, we believe that these cannabis businesses, with their patents, licenses and partnerships, will ultimately do very well in both their capital raises as well as ventures and TruCrowd Services is pleased to be marketing their offerings.”

Management does anticipate that additional updates will soon follow from both OrgHarvest and QwikLeaf on their current and future operations.

The ORGH business plan for optimizing business growth and also minimizing risk has a lot of valuable aspects which are detailed in the news we saw:

OrgHarvest’s competitive advantages include risk diversification through the approach of growing cannabis using a high-tech custom Dutch glasshouse manufactured in the Netherlands, which offers a unique combination of advantages unmatched by OrgHarvest’s competitors. Operational advantages of OrgHarvest’s new production system include:

Increased production rate and volume efficiencies.
Closed loop pressurized system.
Zero waste through a UV water recirculation system.

The $20 million Reg A Offering approval for ORGH and recent 12 month extension are impressive milestones here and give us a clear indication that there is major earnings potential in the company business plans.

OrgHarvest Receives SEC Approval to Extend Reg A Offering

LAS VEGAS, Nov. 04, 2019 (GLOBE NEWSWIRE) -- via NetworkWire – OrgHarvest, Inc., “OrgHarvest” or the “Company” (OTCMKTS: ORGH), the first U.S. based cannabis cultivation company to achieve a Regulation A+ qualification, announced today that the Securities and Exchange Commission (SEC), has approved a 12-month extension on OrgHarvest’s Reg A+ Offering (https://www.fundanna.com/equity/offer-summary/OrgHarvest).

As previously noted, OrgHarvest made history when it became the first U.S.-based cannabis company touching the plant, to complete the Reg A+ qualification process. Now, with further assurance that the initial qualification was justly granted, the Company has received a 12-month extension on its Reg. A+ offering. This 12-month extension allows OrgHarvest to complete its raise of up to $20M through the Tier 1 Reg A+ offering.

Management indicated that the timing of this extension was nearly perfect, particularly as the Company has completed and filed with the SEC a GAAP Audit via Black Rock Consulting in anticipation of becoming a fully reporting company – with plans to upgrade its securities to the OTCQB at the end of 2019 via a PCOAB audit. This is a strategy that management believes will bring more comfort to investors, given that regulations around the U.S. cannabis market are still somewhat convoluted. However, in scoring a historical SEC qualification, then securing licenses for Rhamnolipid Liposomes Patents and with persistent diligence in becoming a fully reporting OTCQB filer, the opportunities available to OrgHarvest are plentiful.

Frank Celecia, CEO of OrgHarvest, Inc. stated, “Things are all slowly falling into place... And, once we finalize a few of the larger deals that we’re currently working on, things should quickly expand on all fronts – including shareholder confidence. We are extremely thankful to the SEC for approving us for another 12 months and will continue to aggressively push our Reg A+ offering forward.”

The offering for OrgHarvest, Inc. is listed with TruCrowd Services, LLC. TruCrowd Services, LLC has made OrgHarvest’s Reg. A+ offering available to the public leveraging the cannabis focused securities funding portal, Fundanna.com – (see listing here (https://www.fundanna.com/equity/offer-summary/OrgHarvest)).
