Yes, got the alert Friday; sale date Monday 8/26 as per my Gains and Losses page. Those shares will go down as a 75% loss. Luckily those were what you folks call free shares (what I call house money). Looking at the record, the last time I sold shares, scored a nice 58% gain when it popped over 2 cents on Valentines Day 2022. Anybody remember that? That day I got 2.4 cents, which was double my last buy at 1.2 some time in 2019. All my buys were in 2019 when I was young and foolish, iHub and pennies had my attention, and a very bullish pb* made buying under 2 cents sound like a no-brainer.

Sorry for those who never had a chance to take profits. Hereโ€™s hoping you all have many winners this year to balance out this loser.

Agreed, a dirty shame. Where's the SEC when you need them.....they're busy going after XRP which is stupidity and thus protecting no one there. They needed to be here looking at this un-reporting scam company, I did file a complaint but not confident.

It's really sadโ€”this feels like a license to steal without a gun to your head. The old management sold their positions to Making Science, but the worst part is they refused to disclose the transactions. Their plan seems to be to quietly wait for years and scoop up all the cheap shares.
Yes, what a rip-off by the company! These shares are worth at least 3 cents, and they managed to get them at a .0029 a thousand percent discount.

Company ripped us all off. buyout should have been at least double this or much more. As they held 76% we never had a chance. I didn't even want to deal with waiting to get paid and took less a week or two ago at .0028 as there were millions of shares at the bid at .0028. We were totally screwed. This company never dealt with shareholders in any way, shape or form and never should have been a public company. People talk class action lawsuit but it will never happen.

Freeze out merger sounds familiar:
To complete freeze-out merger, the acquiring company first creates a new corporation, which it owns and controls. The acquiring corporation then makes a tender offer at an amount slightly higher than the current target corporation' stock price. If the tender offer succeeds, the acquirer gains control of the target and merges its assets into the new subsidiary corporation. In effect, the non-tendering shareholders lose their shares because the target corporation no longer exists. In compensation, non tendering shareholders get their right to receive the tender offer price for their shares. The bidder, in essence, gets complete ownership of the target for the tender offer price. Because the value the non-tendering shareholders receive for their shares is equal to the tender price (which is more than the premerger stock price), the law recognizes it as fair value and non-tendering shareholders have no legal recourse. Under these circumstances, existing shareholders will tender their stock, reasoning that there is no benefit to holding out: if the tender offer succeeds, they get the tender price anyway; if they hold out, they risk jeopardizing the deal and forgoing the small gain. Hence the acquirer is able to capture almost all the value added from the merger and, as in the leveraged buyout, is able to effectively eliminate the free rider problem. This freeze-out tender offer has a significant advantage over an LBO because an acquiring corporation need not make an all-cash tender offer. Instead, it can use shares of its own stock to pay for the acquisition. In this case, the bidder offers to exchange each shareholder's stock in the target for stock in the acquiring company. As long as the exchange rate is set so that the value in the acquirer's stock exceeds the pre-merger market value of the target-company stock, the non-tendering shareholders will receive fair value for their shares and will have no legal recourse.

Bravo, at a minimum a record is created when you do that. They(court, lawyers, regulators, etc..) will never be able to ask you why you didn't complain.

I decided not to wait and took less at .0028 as the other day there were over 11 million for sale at .028. I am done with this crap company that has never cared about its shareholders and should have never been public to begin with, with 76% insider held. I took a 40% loss this time but made money before flipping it. Glad to be done with this POS and used the funds for others.

Here's how a squeeze-out merger can work:
Majority shareholders form a new corporation.
The new corporation submits a tender offer to the original corporation.
If the offer is successful, the acquiring company merges its assets into the new corporation.
Minority shareholders who don't tender their shares lose their equity position because the original company no longer exists.
A parent-subsidiary merger is another way a squeeze-out merger can occur. In this scenario, a parent corporation that owns at least 90% of a subsidiary's stock merges with the subsidiary. The parent company can then force the subsidiary's shareholders to accept cash for their shares.
Forced sales among shareholders aren't common, but it's important to be aware of the possibility when planning long-term investing strategies.

Yep we did with a buyout at .0029. We never had a chance. They obviously counted the 76% shares held by the insiders. this proxy vote was just an exercise to make it legal and we had no chance. This company should never have been trading publicly basically putting out nothing for years. Zero attempt to increase shareholder value. The winner is Making Science. We lose. 1.3 billion shares in favor, 74 million against.
