Item 5.02

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

On September 12, 2019, Todd A. Shaw resigned as the Executive Vice President and Chief Supply Chain Officer of School Specialty, Inc. (the “Company”). The Company has decided to reallocate the responsibilities associated with this role to existing positions within the Company.  In connection with the end of his employment, the Company and Mr. Shaw agreed that he would be entitled to the benefits of a termination without cause in accordance with his employment agreement.
