Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers

AAON, Inc. (“AAON” or the “Company”), announced today that Paul K. (“Ken”) Lackey, Jr. will retire from the Company’s Board of Directors (the "Board') following the end of his current term at AAON's 2022 Annual Meeting of Stockholders on May 12, 2022. Mr. Lackey's decision to retire and not to stand for re-election is not the result of any disagreements with management or the Board related to the Company's operations, policies or practices.

A copy of the press release announcing Mr. Lackey's retirement is attached hereto as Exhibit 99.1.
