      Yeah so, I checked DuPlooy's Instagram pic in front of the JSE. That was about a Carbon Ventures Market launch. Nothing whatsoever to do w any speculative listing on the JSE, which was just an expression of false hope in the absence of any transparency for some of us regarding strategies, attempts, progress, setbacks in removing the CE. 🥸🚑🤪🐰☕

      Such things are structurally doable IMO. When a subsidiary of a public (or private) co goes public (on any exchange) it's called a spin-out or carve out. It's basically an IPO.

      That's best. We want public co TXTM as the owner. IMO as a subsidiary, even with a CE on TXTM, RSAMMDA could possibly become a seperately publicly trading co on an exchange such as JSE but I don't know I would have to DD that on google.

      RSAMMDA is a Wholly-Owned Subsidiary of TXTM not the other way around.

      RSAMMDA owners (Dr J. and Dylon) acquired control of TXTM

      I have no idea about JSE

      OTCM told me that they don't care if an OTC stock that is CE apply to uplisting on an Exchange.

      MJWL alluded to that last year, but the deal fell through

      Might be possible, in theory, but in practice, I haven't seen it happen.

      RSAMMDA acquired TXTM per June 13 2022 PR. Later, the two switched place.

      Do you know if a holding co on the JSE (Remgro) could put TXTM on the JSE (Johannesburg stock exchange)? Could TXTM be on both the OTC and JSE, with caveat emptor? 🤪

      RSAMMDA is already a 100% Wholly-owned subsidiary of TXTM

      You can't get more "incorporated" than that

      It would be Protext that would cease to exist if what had happened wanted to be considered a reverse merger, but it isn,t it was a simple "acquisition".

      TXTM acts sort of a Holdings Company

      TXTM doesn't have any "control" over RSAMMD Pty LTD, at this point in time.

      The structure of the merger thus far may be typical. I don't know..It doesn't appear complete. RSAMMDA will incorporate into TXTM and cease to exist I would guess.
      RSA seems to participate in selective transparency along with routine evasiveness.
      The opioid replacement trial seems a critical win yet remains disassociated from TXTM's IP, which itself the co buried for years. IMHO..

      All of these relationships are intentionally vague by design, allowing maximum wiggle-room for Dr J/ Dylon. These situations are never intended to be in the shareholder's interest. All TXTM owns is the privilege of an occasional handout when They feel like it.

      Technically, RSAMMD Acquistion LLC is a wholly-owned subsidiary of TXTM

      Meaning that TXTM acquired RSAMMDA LLC, not the other way around

      Also RSAMMDA LLC (Delaware) is NOT RSAMMD Pty LTD. (the actual operating entity in South Africa)

      We have no idea what the exact relationship between RSAMMDA LLC and RSAMMD Pty LTD is (Also what relationship either have with Leads Boerdery)

      At the same time, RSAMMD Acquisition LLC owners are the majority shareholders of TXTM

      MaxInvestor89 - Re why I asked if Protext has been fully acquired by RSA yet. In comments by DrH in the June 2022 CC (avail on YouTube) a couple of weeks AFTER the acquisition of TXTM PR, she basically said RSA had yet to acquire Protext's IP. She said RSA "plans" to purchase Protext's extraction process (but also explained why they need its longer bioavailability to treat chronic pain, at the same time.) DuPlooy had already tweeted that RSA did a build out of our IP long before that point. I guess I'm asking if weve really merged yet. IMO.

      Bottom Line: The OTCM does not like TXTM, and for good reason. They will continue to keep Dr. J/Dylon running around in circles mired in paperwork/legalese trying to get the CE lifted for some time to come until TXTM gives up and tries to jump to another exchange.

      TXTM hasn't filled their 10-K and 10-Q for 2015 and 2016

      FINRA doesn't like it when issuer do not fill their reports BEFORE submitting a Form 15-12G to de-register from the SEC

      I hear, many times, that the issuer either need to fill such delinquent fillings or become SEC reporting again and undergo a full SEC review of Form 10-12G or S-1

      What do you mean by "Has Protext been fully acquired, yet?"

      I've been told by OTCM that, in theory, they would not block an uplist if a stock was caveat emptor

      It would be up to the Exchange to decide if they approve the uplisting or not.

      I don't know exactly why it was put on

      What I know is that Dylon was pumping the stock like CRAZY on social media (Literally the craziest pumping by the CEO I've seen)

      Talking about the stock price, sharing rocket emojis and GIFs etc.

      Do we need to be sec reporting to expedite CE removal? Do we need it to affect a name change? Has Protext been fully acquired yet?
      If Para (I think) expressed feeling partial to a different route forward altogether, what might that be, Up-list?
      I do not have a strong notion about why the CE was applied, myself, and there's not been a clear consensus on social media. What do you think?

      Attorney Letter aren't required for non-SEC reporting that want to get their CE removed.

      They aren't really equivalent, per say, it is just different requirements for different type of issuers

      I would guess that a co with CE, mentioning said CE in filings, might be atypical, myself, but I don't know. How long did the co that mentioned CE in a filing take to loose the CE?

      I haven't read the case file you found about a co's journey back to trading from CE and prob won't. If I had a printer and could make a paper copy I prob would print it out and read it.
