( 1)  Disposed of pursuant to the Agreement and Plan of Merger between the Issuer, Sidewinder Drilling Inc. and Fastball Acquisition Inc.
( 2)  At the effective time of the merger, each restricted stock unit vested in full and was converted into the right to receive a cash amount equal to the merger consideration.
( 3)  At the effective time of the merger, each option was cancelled in exchange for a cash amount equal to the net value of the exercise price and the merger consideration.
