Explanation of Responses:
( 1)  The reporting person's purchase of IntriCon common stock reported herein was matchable under Section 16(b) of the Securities Exchange Act of 1934, to the extent of 1,000 shares, with the reporting person's sale of 7,000 shares of IntriCon common stock at a price of $13.5764 per share on October 30, 2007. The reporting person has paid IntriCon $6,324, representing the full amount of the profit realized in connection with the short-swing transaction, less transaction costs.
( 2)  The options will become exercisable in three equal, annual installments beginning one year from the date of grant or earlier upon the death, disability or retirement of the recipient or a change of control of the Company (as provided in the 2006 Equity Incentive Plan).
