What do you see as the biggest change from Pink Current to OTCID ?

Many of the requirements, including the disclosure necessary to qualify for the OTCID Basic Market, will remain largely the same as the existing disclosure requirements for Pink Current Information.

Will there still be a market for sub-OTCID? I can't see it all going away but other than SOHM, I'm not much in pink. Maybe one other.

Frankly, I'm fine with staying at this tier, as long as they go fully reporting. A move to QB is feasible, but the cap tables start to get problematic (Bid must be over a penny, so a $20MM market cap with the current share structure...feels like big stretch). No chance we see QX without a reverse split; ditto Nasdaq.

Most sub-pennies we watch can't afford a Registration, that and the ongoing costs ( audits etc )

I suggested to IR here that if and when revenue starts booming they clean things up and file a Form 10, imo they simply have to get off of the OTC Pinksheets.

I imagine it depends on what stage the company is in. My observations related to the prospective registrations often followed a RM (they couldn't care less about the 'old' company's shareholders) where newco wants to do a capital raise.

Truthfully, you nailed it...9/10 times the promise of registered shares goes unfulfilled.

I'm really surprised to hear this JD, in my travels around the pinky swamp over the years I assumed most penny stocks filed, or promised to file a Form 10 to register all shrs, current and future. I know of one that has promised one for a decade, no lie. Anyway I'm not an Atty so what do I know...

Thanks S. That's probably why Dr Aguilar didn't toot his own horn. You probably read the certificate, it seems to indicate significant accomplishments. (?) Regardless of the certificate, he's done more in his career field than I have. (He just needs to fix his clock.)

I would hope that anyone who takes shares as a primary means of compensation has taken the time to understand the situation, and did so with the assumption that their contribution would improve their position. A rising tide lifts all ships, right?

I converted debt that the company (at the time) had no way to pay into shares, knowing that it would be essentially illiquid for a period of time. Years later, evaluating this decision is difficult because I could (presumably) liquidate now and still see a 100% ROI, but I still see the potential (especially with ABBIE) for more.

So like anyone in this space, I'm patient but inclined to voice my displeasure as I see the same mistakes made time and again.

I often wonder if those receiving shars these days as payment realize what they are getting into......with ALL sub penny co's..

Microcaps have always been a PITA, and certificate clearing - especially clearing restricted certs - have always been especially painful. But the clampdown drove a whole bunch of broker dealers to avoid it outright (Scottsdale & Alpine come immediately to mind).

Truthfully, I can't blame them. It only takes a single SEC investigation to make one realize that the reward isn't worth the risk.

And until there is a consensus that the risk of SEC enforcement against broker-dealers has diminished, there won't be much additional competition (and what competition exists will bake the cost associated with the risk into the equation).

That said, I'm relatively sure that there would still be difficulties clearing sub-penny stocks (there will be regulatory review), but you could at least avoid the attorney fees associated with legend removal (I'd expect costs of around $1k to clear/sell given sub-penny fees, vs. the $3+ that I'm currently looking at for that plus legend removal).

let me ask you a hypothetical, say you had the legends removed on your certs and SHMN filed a Form 10 and their shrs were now registered, would that make it much easier to find a broker even though it was still sub penny ?

WDCO is pretty much the only game in town right now. They've always charged a boatload for certificate review/clearing...the price of doing business.

I'm just glad they're willing to work with sub-pennies again. After they dipped out previously, there were essentially no options.

I have a Cert ( another co ) that I had the legend removed years ago, my broker doesn't touch them, after checking Wilson Davis who the co recommended I gave up ( $1000.00 for their lawyers to review it ) plus a ridiculous commission.

Maybe things are loosening up, I hope so...

It's a timing thing. My broker is willing to work with sub-penny stocks now, but they *strongly request* that I sell any such stocks as quickly as possible after deposit.

Seems like we've anticipated a sizeable uptick for a long time now, I hope you are right.

Removing the legend should be easy for you, don't be late !

Difficult to verify, but not surprising if this is indeed the case.

Without digging in to the old disclosures, it feels like it's been a year + since at least some of the more recent shares were granted. I wouldn't be surprised if the recipients of those shares are at least taking the first steps necessary to divest in anticipation of an uptick in PPS.

Full disclosure - I haven't yet removed the legend from my shares, but am getting ready to.

Anyway this is from 3/18, add the 310 ml issued on 6/18 that and add the new 105 it doesn't seem to add up. Unless abround 100 mjl came off restriction at some time....

I'm not attempting to make an excuse for their lack of communication, but there is an Annual report due shortly and they may be in a quiet period prior to it's issuance.

They need to show some actual progress in revenues. Enough talk.

However, per the Q3 report, they had 1,910,576,407 outstanding (including the 310,000,000 shares issued on June 18), so I'd imagine that increase in total outstanding means that they've since issued another 105,000,000 restricted shares (since any new issuance will be restricted).

JD, do you remember what the restricted share count was a month ago ?

With tinfoil hat securely in place, I'm beginning to wonder if the absence of updates is intentional. Is it possible that there are discussions with a potential suitor to acquire a controlling interest, but due to the fact that a portion of those shares must be acquired on the market, the offer is contingent upon keeping PPS depressed?

I hate to be this paranoid, but I really cannot understand why this company and it's current leadership team is so grossly negligent in providing the updates/taking the steps necessary to maximize shareholder value. The erosion in PPS over the past 12 mos (to say nothing of the precipitous drop since 2021) and the profound lack of response by the company makes me seriously question whether they are intentionally playing a role in the prolonged downturn.

Management: Over the years, you have expressed an interest in running a public company because of the benefits you perceived...It's well past time for you to fulfill your obligations.

Enough with the gummies, where are the ABBIE updates. They were supposed to sell kits in Q4 2024. Will they even sell one in Q1?
