METALRAX GROUP PLC  -  BOARD ANNOUNCEMENTS


In the Annual Report published on 22nd April 2002, it was announced that the
position of chairman would become non-executive on a part-time basis.
Accordingly Mr E. S. Moore is officially appointed non-executive chairman today
(Monday 1st July 2002). Mr Moore has been executive chairman since 1995.

At the same time, Mr R. E. Arbuthnot is being promoted to the position of chief
executive.  Mr Arbuthnot, aged 55, has been an executive director since 1994 and
succeeds Mr A. J. Mackenzie who has been group managing director since 1995,
having joined the board in 1975. Mr Mackenzie will continue as an executive
director in a supporting role, and working a reduced number of hours.

The company is also pleased to announce the appointment today of Mr J. K. Adcock
as a non-executive director.

Mr Adcock, aged 55, is a fellow of the Chartered Institute of Bankers, having
joined HSBC Bank PLC in 1964 was Birmingham Area Manager of the bank from 1993
until his retirement in March 2002. He has been a director of Millennium Point
Trust Ltd Birmingham since 1996 and a Council Member of the Birmingham Chamber
of Commerce and Industry since 1993. Mr Adcock will continue in these positions.

Pursuant to paragraph 16.4 of the Listing Rules, the company advises that Mr
Adcock does not have and has not previously held any other directorship in any
publicly quoted company at any time in the previous five years, and there are no
details to be disclosed pursuant to paragraph 6.F.2 (b) to 6.F.2 (g) of the
Listing Rules.

At the date of the appointment Mr Adcock does not hold shares in Metalrax Group
PLC.
