Keweenaw Shareholders Urged to Vote for Management's Nominees on the Green Proxy Card

PR Newswire (US)
IRONWOOD, Mich., June 8 /PRNewswire-FirstCall/ -- The 2009 Annual
Shareholder Meeting of Keweenaw Land Association, Limited (Pink
Sheets: KEWL) is slated for 9:00 a.m. CDT on June 23, 2009 in
Ironwood, Michigan. The Keweenaw Board of Directors is asking its
shareholders to vote for Board nominees James P. Totten and David
E. McDonald, Sr. on the Company's green proxy card. Mr. Totten
brings a diverse background and a wealth of industry operating
experience to the Board. Mr. McDonald, a long-time attorney in the
state of Michigan adds significant background in Michigan business
law, an understanding of real estate issues, and brings the benefit
of long-standing relationships with local and state agencies and
government officials. Dissident shareholders Ronald S. Gutstein and
Scott Frisoli would bring little to the Board: -- They are not
qualified, not possessing the qualifications that companies use in
selecting board members. -- Though undoubtedly possessing skills in
the securities industry, they lack executive level experience in an
industrial company and industry-specific experience in timberlands
and minerals management, a fact acknowledged by RiskMetrics in its
2008 report. -- Neither individual has visited the Company, toured
the Company's timberland holdings, or had in-depth on-site
discussions with senior managers. -- The new ideas presented in
their 2009 proxy statement, though very welcome, demonstrate a lack
of understanding of the Company and the region in which the Company
operates. -- They propose an idea to develop a wind-power
generation project on Keweenaw lands. Such a project is not
feasible on Keweenaw lands: -- None of the Company's land surface
ownership lies in areas that experience the prevailing winds
necessary for consistent wind-power generation. -- The closest
scale wind power development is nearly 400 miles away, with no
development activity in the area. -- Little electrical
transportation infrastructure exists in the region. -- They propose
the development of an ATV/Snowmobile Park. Again, a "for profit"
recreational facility of this type would not be viable due to
currently existing free-of-charge recreational opportunities: --
The Michigan Department of Natural Resources manages over 3,200
miles of trails for free public, off-road vehicle and ATV use, as
well as 6,200 miles of free groomed snowmobile trails, some of
which cross Keweenaw ownership. -- The Ottawa National Forest, a
one million acre forest tract in the western and central Upper
Peninsula of Michigan, partially interspersed with Keweenaw
properties, provides free availability of over 2,400 miles of roads
and trails for use by off-road vehicles and snowmobiles. -- They
propose registration under the Securities Exchange Act. Though a
benefit to larger companies and required by companies listed on
major exchanges, the substantial costs of registration and on-going
reporting are unwarranted, given the lack of proven benefit and the
size of Keweenaw. The Board of Directors is very concerned that Mr.
Gutstein and Mr. Frisoli may "disenfranchise" shareholders that
vote on their proxy card. -- On page 14 of their proxy statement,
they assert their right to withhold their proxies to prevent the
formation of a quorum at the 2009 Annual Shareholder Meeting. -- Is
it fair to Keweenaw shareholders, those voting on the
Gutstein/Frisoli card as well as those voting on the Board of
Directors card, that their votes may not be counted? Your Keweenaw
Board of Directors urges you to vote today. Make your voice heard
by voting on the Company's green proxy card. If you have already
