I am a high level Biotech Engineer for a fairly large PRIVATE company that experiments in participatory public goods funding. I am also an investor in the equity markets but rarely do I ever invest in an OTC company. I have never posted on a stock message board before but feel compelled to do so now in regards to Curative Biotechnolgy aka CUBT.
Being heavily involved in these specific markets (BIO and PHARMA), when I saw the news months ago concerning this merger I was intrigued as I am always looking for avenues for the creation of capital. .Also being in this marketplace, as such I am privy to much of the buzz behind the scenes in the BIO and PHARMA industries. When I first became aware of CUBT I looked at the market cap and thought it was worth looking into but not worth concerning myself with as far as an investment. However, that has changed with the recent rise in share price.
After doing some extensive digging and talking to some of my fellow colleagues I have met throughout the years, I was able to ascertain what I believe is the company that CUBT is referring to in its one and only press release about this situation almost a year ago. . I am not going to name it for privacy concerns and I don't want to get sued if I name the wrong company, but I am extremely certain that I know what CUBT is doing and who they are doing it with. In a nutshell, I hope that this deal does not happen for CUBT investors as the many red flags I found would scare even the most risk averse players to run away.
First and foremost, the potential BIO 'company' and I use that term loosely, is an idea. It is not a functional BIO or Pharma company creating any sort of revenues or business. It is an idea the same as if one of you said "I have an idea" and I am going to create a company based on that. But that is as far as it goes. There are no functioning operations. They have tried to raise money based on this idea but at best little to no money has been raised. That is confirmed.
They have no CEO.
No employees.
No functioning business.
It is the brainchild of people looking for a quick dollar as far as I can ascertain. A way to raise money with no real infrastructure behind it or any investment. So far that has been a tough road in regards to raising funds. Of course that has been the case for many start ups recently.
So while I found out that this has been an idea of something that could/maybe/fantasy/will probably never happen. I was still interested. But after more digging into the actual SEC filings of CUBT I then lost total interest. The fact they have tried to raise monies based on this 'idea' is farcical to begin with, and the fact that they have not raised the money since early last year should tell anyone what they need to know. Notice also the lack of a social media presence. That is telling. They do not want to get caught in anything improper.
As I looked more into this venture, I also delved deep into the shell company that was trying to make this happen. CUBT. Having a small background in financial auditing as well, although not nearly as extensive as my background in actual BIO engineering, I looked at their filings, or lack thereof, and have found that this company has little to no chance of ever becoming an SEC company capable of transacting a merger of any type. This is all because of their past filing history and the skeletons that exist in those filings. There is a new trading market coming in a few months on the OTC for defunct/dark and non compliant companies that 'may' allow a merger to happen with financials as bad as this company has, but even if that is allowed as I said above there is no real company that CUBT can merge into or with. CUBT is a facade imo.
The end result is any potential investor buying stock in a company such as this with a current market cap of over $15 MM is lacking an understanding in investment 101 fundamentals. In my opinion this entity is probably nearer to getting a stop trading order on OTC markets than doing something of real value for shareholders
I can only wish you luck and will share any further information that I come across. I have some more data that I will share soon.
