PART III – NARRATIVE

 

State below in reasonable detail why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

 

The Crypto Company (the “Company”) has experienced a delay in filing its Quarterly Report on Form 10-Q for the quarterly period ended June 30, 2023 (the “Form 10-Q”) by August 14, 2023, the original due date for such filing. The Company is unable to file its Form 10-Q within the prescribed time period because it requires additional time to prepare and review its financial statements, including the notes thereto, for the quarter ended June 30, 2023, primarily due to its limited resources and financial and accounting personnel. As a result, the Company is unable to file its Form 10-Q by the prescribed filing date without unreasonable effort or expense. The Company currently anticipates that it will be able to complete the work described above in time for the Company to file its Quarterly Report within the 5-day extension provided under Rule 12b-25 of the Securities Exchange Act of 1934, as amended.
