Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

 

On July 15, 2019, Canbiola, Inc. (the “Company”) filed an amendment to its Articles of Incorporation (the “Amendment”) with the Florida Secretary of State to increase the number of shares of common stock authorized by the Company to 1,500,000,000, Nil par value. The Company’s number of authorized preferred shares remains the same at 5,000,000. The foregoing description of the Amendment is qualified in its entirety by the text of the Amendment, a copy of which is attached hereto as an exhibit.
