Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On February 26, 2025, the Board of Directors and Scott Totman agreed that Mr. Totman will transition to a new role on March 7, 2025 guiding the Company’s AI efforts in the Company’s AI Lab. Mr. Totman will continue to be eligible to receive the payments and benefits under the Company’s Executive Severance Pay Plan (the “Plan”), subject to the terms and conditions of the Plan.
