Explanation of Responses:

Includes a balance of 9,221 restricted stock units issued pursuant to a Restricted Stock Unit Award Agreement and the Issuer's 2013 Stock Option and Incentive Plan. Each restricted stock unit represents a contingent right to receive one share of the Issuer's common stock. The restricted stock units were granted on January 1, 2017 and vest (i) with respect to 25% of the units, on January 1, 2018 and (ii) with respect to the remaining 9,221 units, in 12 equal installments every three months with the first installment vesting on April 1, 2018.
