per share to be paid by the PIPE Investor pursuant to the Subscription Agreement assumes that Pagaya has effected the Corporate Restructuring, including the Stock Split. The closing of the PIPE Investment is conditioned upon, among other things, the consummation of the Transaction. The Subscription Agreement will terminate upon the earliest to occur of (a) such date and time as the Merger Agreement is terminated in accordance with its terms, (b) the mutual written agreement of each of the parties to the Subscription Agreement, (c) if the closing conditions set forth in the Subscription Agreement are not satisfied, or are not capable of being satisfied, on or prior to the Closing and (d) July 15, 2022 (the “Outside Date”), subject to automatic extension once for three months if certain conditions in the Merger Agreement have been satisfied or waived at the Outside Date.
