State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, N-CEN, N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

Tupperware Brands Corporation (the “Company”) is unable to file its Quarterly Report on Form 10-Q for the quarter ended March 30, 2024 (the “Q1 2024 Form 10-Q”) by the prescribed due date.

The Company previously disclosed on Form 12b-25 dated March 29, 2024 that it would be unable, without unreasonable effort or expense, to complete and file its Annual Report on Form 10-K for the fiscal year ended December 30, 2023 (the “2023 Form 10-K”) within the prescribed time period.

Due to the additional time needed to complete and file its 2023 Form 10-K, the Company will therefore be unable, without unreasonable effort or expense, to complete and file the Q1 2024 Form 10-Q within the prescribed time period. The Company is endeavoring to complete its financial close process and file its 2023 Form 10-K and subsequently its Q1 2024 Form 10-Q as promptly as possible; however, there can be no assurance with respect to the timing of completion of the filings.

The Company is executing on its strategic turnaround plan, and as a result, has incurred one-time non-operating charges impacting its Q1 2024 results, in addition to a continuing decline in its underlying business, which will be reflected in its revenues and its results of operations for the quarter ended March 30, 2024 as compared to the quarter ended April 1, 2023. The Company is still completing its Q1 2024 financial close process, and continues to have substantial doubt about its ability to continue as a going concern; therefore no reasonable quantitative estimate of the changes can be made at this time.
