NEWS -- FuelPositive Closes Final Tranche of Private Placement
FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the "Company") announces that it has closed a non-brokered private placement (the “Offering”) and has issued 8,925,055 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $490,878. Each “Unit” consists of one common share of the Company, and one common share purchase warrant exercisable at a price of $0.07 until August 29, 2029.
The Offering represents the final tranche of the placement previously announced by the Company on May 28, 2024.
No finders’ fees or commissions were paid in connection with completion of the Offering. All securities issued in connection with the Offering are subject to restrictions on resale until December 30, 2024 in accordance with applicable securities laws.

Inspection and Technical Services (ITS):The Company is pleased to provide an update on the final approval process. The Inspection and Technical Services (ITS) division of the Ministry of Labour, responsible for inspecting pressure vessels, will conduct their final on-site inspection during the last week of August. This inspection is anticipated to be a crucial step—a milestone eagerly awaited by stakeholders—as it will provide a clear timeline for approval, enabling FuelPositive to move forward with activation and secure its first sales.
ITS is responsible for Boiler and Pressure Vessel safety in Manitoba. Through physical and remote inspections, ITS is committed to working with industry and owners to reduce safety risks by confirming compliance with The Steam and Pressure Plants Act, The Power Engineers Act, and the Regulations set out by the Government of Manitoba.
ITS works with industry to oversee the safe construction, installation, and operation of Boilers and Pressure Vessels within Manitoba. ITS works with equipment owners, manufacturers, installers, and licensed power engineers to ensure safety standards are followed. ITS enforces Boiler and Pressure Vessel safety standards through design registration, inspections, examinations, and licensing.

NEWS -- FuelPositive Closes First $1.5m Tranche of Non-Brokered Private Placement
WATERLOO, Ontario, May 28, 2024 (GLOBE NEWSWIRE) -- FuelPositive Corporation (TSX.V: NHHH) (OTCQB: NHHHF) (the “Company”) is pleased to announce that it has closed the first tranche of its non-brokered private placement (the “Offering”). In connection with completion of the first tranche of the Offering, the Company has issued 28,123,818 units (each, a “Unit”) at a price of $0.055 per Unit for gross proceeds of $1,546,810. Each Unit consists of one common share of the Company and one common share purchase warrant (each, a “Warrant”) allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.
The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as all participation has been finalized.
The net proceeds from the Offering will be utilized for general working capital purposes. In connection with completion of the first tranche of the Offering, the Company has paid finders’ fees of $5,390 and issued 98,000 Warrants to an arms-length brokerage firm who assisted in introducing subscribers to the Company. All securities issued in connection with the Offering are subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws.

Manitoba on-farm installation
"While we were pleased to meet our April 15 target date for the shipping of our system, we deliberately chose to hold back the last containers in Waterloo until we receive the go-ahead from the Hieberts regarding final site readiness. It’s been a challenging spring for farmers in Manitoba due to significant precipitation, and we had to press pause to allow for the necessary heavy equipment access to the site," continued Ian Clifford.
May and early June are also incredibly active periods for seeding and planting for farmers in Manitoba. FuelPositive is respectful of the Hieberts’ busy spring and unforeseen weather-related site prep challenges and decided to keep the balance of the system in Waterloo until the Hieberts go ahead. Once received, the balance of the system will be installed on-site in Manitoba following two days to account for loading and shipping times.
The positive aspect of having the balance of the system at FuelPositive facilities in Waterloo has allowed the team to advance readiness, which will translate into accelerated on-site commissioning.

Private Placement first tranche details
In connection with the completion of the first tranche of the Offering, the Company anticipates issuing 27,000,000 units at a price of $0.055 per Unit for gross proceeds of $1,500,000. Each Unit will consist of one common share of the Company and one common share purchase warrant allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.
The Company anticipates completing a further tranche of the Offering to raise total proceeds of up to $3,000,000 and will provide further details regarding closing of this additional tranche as soon as participation has been finalized.
The net proceeds from the Offering will be utilized for general working capital purposes. In connection with the completion of the Offering, the Company may pay finders’ fees to eligible third-parties who have assisted in introducing subscribers to the Company.
In connection with the completion of the Offering, the Company also intends to settle (the “Debt Settlement”) outstanding indebtedness totaling $111,000 owing to certain arms-length credits in consideration for the issuance of 2,018,182 Units at a deemed price of $0.055 per Unit. The Debt Settlement is inclusive of amounts previously announced by the Company in its news release of April 4, 2024.
All securities issued in connection with the Offering and Debt Settlement will be subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws. FuelPositive is delighted to announce the appointment of its new Farmer-Advisor, Chad Berry. Mr. Berry partners in and operates the 12,000-acre Under the Hill Farms in Glenboro, Manitoba. Mr. Berry, a third-generation potato grower, has extensive experience in regenerative and sustainable farming practices.

Curtis Hiebert took time out of his busy spring season schedule to visit the team at FuelPositive's new small-batch manufacturing facility in Waterloo, Ontario, to complete the FAT and mandatory safety training for the first FP300, which will be delivered on-farm this week. Tracy and Curtis Hiebert were selected as recipient of the World’s first FuelPositive’s demonstration pilot for the FuelPositive's on-farm Containerized Green Ammonia system.

Non-Brokered Private Placement
The Company is pleased to announce that it will offer (the “Offering”) up to 54,545,455 units (each, a “Unit”) by way of non-brokered private placement at a price of $0.055 per Unit for aggregate gross proceeds of up to $3,000,000. Each Unit will consist of one common share of the Company and one common share purchase warrant allowing holders to purchase an additional common share at a price of $0.07 for a period of sixty months.
The net proceeds from the Offering will be utilized for general working capital purposes with a focus on accelerating its various initiatives in the Province of Manitoba. In connection with completion of the Offering, the Company may pay finders’ fees to eligible third parties who have assisted in introducing subscribers to the Company.
In connection with completion of the Offering, the Company also intends to settle (the “Debt Settlement”) outstanding indebtedness of $56,000 owing to certain arms-length credits in consideration for the issuance of 1,018,182 Units at a deemed price of $0.055 per Unit.
All securities issued in connection with the Offering and Debt Settlement will be subject to a statutory hold period of four-months-and-one-day in accordance with applicable securities laws. FuelPositive was invited by Dr. Matthew Houser, a Senior Social Scientist at The Nature Conservancy and Assistant Research Professor at the University of Maryland Center for Environmental Science, to present their breakthrough Green Ammonia story.
The Global Nitrogen Innovation Center for Clean Energy and the Environment (NICCEE), spearheaded by the University of Maryland Center for Environmental Science (UMCES) with key partners in the U.S. (New York University and iUniversity of Massachusetts Amherst), Canada (University of Guelph), and the U.K. (Rothamsted Research), provide timely and crucial insights associated with the rapidly evolving technological innovation to produce Green Ammonia using renewable energy for clean energy and food production.
The meeting's goal was to inform potential end-users about the emerging on-farm green ammonia production technology and document their perceived opportunities and concerns related to adoption.
The meeting attendees represented various parties involved in agricultural nitrogen management, including grain farmers, regional fertilizer distributors, agricultural policy representatives, and agricultural conservation organizations. "In addition to several presentations that covered the purpose of NICCEE and the overall development of Green Ammonia, FuelPositive CEO Ian Clifford joined to discuss the Company's On-farm Green Ammonia units. During a facilitated discussion, workshop participants offered their perspectives on this new technology, centered around FuelPositive's system." stated Dr Houser.
