Results of Operations and Financial Condition.

On January 26, 2012, Colgate-Palmolive Company (the “Company”) issued a press release announcing its earnings for the quarter and year ended December 31, 2011. This press release is attached as Exhibit 99 and is incorporated herein by reference.

Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

Michael J. Tangney, Vice Chairman of the Company, has advised the Company of his decision to retire as Vice Chairman effective February 1, 2012, after more than 40 years of distinguished service with the Company in multiple roles and geographies. Mr. Tangney’s responsibilities will be assumed by other executive officers of the Company, as planned.
