I do not know of a practical alternative to the SEC’s defining “materiality” for disclosure purposes as a percentage change in a stock’s share price. Although materiality has not been formally quantified in regulations, the de facto standard

You’re forgetting one thing. KBLB doesn’t intend to produce silk. KBLB intends to be an egg producer for the silk producers. Somehow they have to get that silk back from the actual silk producers. What’s that going to cost?
