RMR plc ("The Company")

The Company was notified yesterday of the following changes to substantial
holdings in the Company, which took place on 19 September 2001:

 a. Philip Marcella disposed of 7,161,451 ordinary shares of 10 pence each
    representing approximately 13 per cent. of the Company's issued share
    capital. As a result, Mr Marcella no longer has an interest in the issued
    share capital of the Company.

 b. Swan Corporation Limited purchased 5,361,451 ordinary shares of 10 pence
    each. This increases the holding of Swan Corporation Limited in the
    Company to 9,861,451 ordinary shares representing approximately 17.90 per
    cent. of the Company's issued share capital.
