                         ResponzeTV PLC (the "Company")

                       Placing of New Shares and Warrants


The Company announces that it has today entered into agreements for the placing
of an aggregate 7,401,770 new ordinary shares of 16p par value ("New Shares") at
a price of 30p per New Share, to raise an aggregate amount of US$4,500,000. The
placing is with new Asian-based institutions and individuals.

As part of the arrangements, the placees will be issued with unlisted warrants
to subscribe for an aggregate 7,401,770 further New Shares at a price per share
of 37p per share ("Warrants"), such Warrants being exercisable for five years
from the date of completion. The arrangements further provide for the placing
terms to be altered by either the Company or the placees if, prior to
completion, the Company issues or agrees to issue any shares or other securities
to third party investors on terms which are (taken as a whole) more advantageous
to the third party investors than the terms of the placing. Completion of the
placing is due to take place within 21 days (or such later date as may be agreed
by the Company and the placees) following which the Company will make
application for the New Shares to be admitted to trading on the London Stock
Exchange's AIM market for listed securities.

The placing of New Shares will be made under the authorities granted at the AGM
held on 30 May 2007. The issue of shares arising on exercise of the Warrants
will be subject to shareholders providing any necessary further authorities at a
general meeting of shareholders.
