                             Director's Disclosure





Further to the announcement made by the Company today in relation to the
appointment of David Simpson as Group Finance Director, the following
disclosures are made pursuant to 9.6.13R of the Listing Rules:



(1)  Mr Simpson was formerly a director of easier plc.  Mr Simpson resigned this
position effective 6 April 2001.



(2)  Mr Simpson was a director of Phoenix Network Services B.V. from 9 February
2002. He handed in his notice of resignation on 28 November 2002.  In December
2002, Phoenix Network Services BV went into insolvent liquidation.  At that
time, Phoenix Network Services B.V. had external debts of #214,785 and
intra-group debts of #95,076.



(3)  Mr Simpson was a director and company secretary of Easier.co.uk Limited
from 4 September 2000 until, following application for a voluntary strike off on
7 March 2001, the company was dissolved by notice in the London Gazette on 7
August 2001.



(4)  Mr Simpson was a director and company secretary of Easier Home Sales
Limited from 4 September 2000 until, following application for a voluntary
strike off on 14 March 2001, the company was dissolved by notice in the London
Gazette on 14 August 2001.



There are no other disclosures to be made pursuant to 9.6.13R of the Listing
Rules.
