          Substantial Shareholding Notification


The  Company announces that it received notice yesterday,
in  accordance with the provisions of section 198 of  the
Companies  Act  1985,  that  Norwich  Union  plc  has  an
interest of 17,795,305 ordinary shares of 1p each in  the
Company,  representing approximately 6.37% of the  issued
ordinary  share  capital  of the Company,  following  the
allotment on 3 April 2000 of 2,099,998 ordinary shares to
Norwich  Union plc pursuant to the Company's Placing  and
Open Offer dated 8 March 2000.
