NOTICE

to the holders of the

EUR1,250,000,000 4.125 per cent. Fixed Rate Reset Callable Subordinated Notes due 2023

issued pursuant to the U.S.$25,000,000,000 European Note Programme

(the Notes)

(ISIN: XS0906394043 / Common Code: 090639404)

NOTICE IS HEREBY GIVEN by the Issuer to the Noteholders that, having obtained the consent of the Supervisory Authority, the Issuer will redeem the Notes in full on 20 March 2018 pursuant to Condition 5(c) (Redemption and Purchase - Issuer's Call Option) of the Notes.

As specified in the terms and conditions of the Notes, the Notes shall be redeemed at their principal amount, together with accrued and unpaid interest to (but excluding) 20 March 2018.

Following redemption of the Notes, (i) the Notes will be cancelled and no further interest payments will be made and (ii) request will be made to the Financial Conduct Authority (the FCA) and to the London Stock Exchange plc (the LSE) for the Notes to be removed from the Official List maintained by the FCA and for their admission to trading on the LSE to be cancelled.

Unless otherwise defined in this Notice, terms used in this Notice have the meanings given to them in the terms and conditions of the Notes.
