TOTAL VOTING RIGHTS



In conformity with the the Disclosure and Transparency Rule 5.6,
Eclipse VCT 2 plc (the "Company") notifies the market of the
following:



Eclipse VCT 2 plc's issued share capital consists of 19,309,985
ordinary shares with a nominal value of 10p each in the Company with
voting rights ("Ordinary Shares"). Eclipse VCT 2 plc does not hold
any Ordinary Shares in Treasury.



Therefore, the total number of voting rights in Eclipse VCT 2 plc is
19,309,985 (the 'Figure').



The Figure may be used by shareholders as the denominator for the
calculations by which they will determine if they are required to
notify their interest in, or a change to their interest in, Eclipse
VCT 2 plc under the FSA's Disclosure and Transparency Rules.
