Anyone still hoping that VPER is a real company will get SOMETHING at the end of March. I believe all Sri Lanka revenue was shown on the Q3 filing, so somewhere in the neighborhood of $50,000. That isn't much. But according to the update (on the template website they pay some guy in India to do,) this Sri Lanka project they were crowing about for so long is only a "pilot project". I'm sure there are multiple definitions of "pilot project", but VPER didn't use that term until weeks after the project was completed. Why?
Q4 financials could have some revenue from Sri Lanka, but they also are supposed to show two months' worth of revenue from the weird "acquisition" they did. They pay for stock with stock, then give back the stock and replace the CEO. Doesn't really seem like an acquisition, but as previously postulated, it may be a reverse merger. I think we see a name change, ticker change, and reverse split in 2025.

Has anyone checked out the new Viper website? It is an improvement over the old one, but not by much. However, I did find this fascinating tidbit of information under the Updates section. As follows: "The company implemented 108 slim line poles equipped with state of the art LED lighting" in Columbo, Sri Lanka. Supposedly that was what was in the boxes pictured at the warehouse. Well, if nothing else it gives us all something to think about. After all, is this installation showing up on the financial report? Just how much do 108 slim line poles with LED lighting cost? What about follow-up orders? If this is a successful implementation, then do we have something to show prospective clients what we can do?

My sincerest apologies, I just don't know why anyone would think this was or ever will be a real company.
The company is supposedly having its financials audited, but even that happens, it may be meaningless. There is a long wait until Q4 is filed, so there probably won't be any PRs until around then, so they can distract from the financials.
I learned years ago that doubling down on subpennies is a bad idea. There are some real subpenny companies out there, but even after this long, a lot are just pump and dumps.
It's possible VPER gets bumped and you get even or make money, but "real company" isn't something I would count on.
It'll be interesting to hear what the new name will be. They will probably change the ticker, too to get some of the stink off. That's if this merger even lasts.

Chain; Why would you even insult me like that... WTF?
Just a Pi$$ed off shareholder that got stuck in this debacle during the OTC rules changing, the Farid silencing era, & Covid.
The plan was to flip this thing and move on. I made, and pocketed 100k on the run up (was valued at 640k briefly @ 9mil shares), but then believed the B.S. they were spewing at the time, so I jumped back in. As it fell I kept doubling down (to the tune of over 26 mil currently). Here we are (3) years later and nothing ever came to fruition, until this Veritas deal, whatever it is? Happy Farid is out of the Captain's Chair, but unfortunately not sure where this is going.
Here in Syracuse, there is a ton of Fiber Optic cabling being put in by a company E-J Electric, which is to run our street lights etc..
I'm hoping this is what these guys are supposedly up to and more. I had an electronic issue a few year s back and went to a local repair shop. He stated no problem, all of this electronic stuff originated here in Syracuse through GE. My point is - we have many light poles w/ sensors in and around the area, and it seems we are the predecessors to many of these concepts that Viper is supposed to be about.
But NO, I am not Greenshark!

No way this gets the Eco treatment. This is now owned by the Veritas Limited/Hammer/1st Comms people; I don't care how they present it to us.
My assumption is that Farid is or at least was a bright guy, but didn't have a clue how to get this off the ground. He probably laid a lot of ground work for his "pipe dream", and now they are going to capitalize on it - "The American Dream" - stories been done and told for thousands of years. Once they pick his brain and get this up and running with revenue streams and PROFITS, he will be out out to pasture, only to see his wildest dream come true, while they rake in the cash.
Very surprised they haven't doled out any info by now though. It's so close to Holidays and Year's end, would have been nice to think and possibly know we had something "real" and good going on.
That being said, BUCKLE UP - they will have to eventually start announcing things in order to move the needle.

Based on what I've read, this is a no-cost merger for VPER and several other entities that HMMR is spinning off. I don't know HMMR's motivation to spin them off and I don't know why they would choose VPER for what MAY amount to a reverse merger. VPER lists all of that accumulated deficit on their financials which seems bad, but could all go away in any number of ways. My guess is they would grant shares to those individuals if they wanted to remove that debt. Maybe they just continue to carry it on the books.
Provided this doesn't go the same way as EcoTech, and VPER unacquires 1st Point, Endstream, and all of 1st Point's subsidiaries, I think a reverse split is coming.
“Strong growth will continue to come from the messaging business due to our inherent competitive advantage in the marketplace, but we anticipate expanding our fixed wireless business as we continue to make investments in key markets such as Alabama and the Eastern Caribbean,” added Levitt.
Inherent competitive advantage being they are a CLEC in a few markets? Alabama and the Eastern Caribbean are key markets for fixed wireless? I'm guessing there must be some hurricane proof antennas they use in those key markets.

How can nothing be told about the new arrangement(s) of Veritas Limited, Hammer/1st communications taking over Viper Networks?
It's obvious that Farid was broke and needed money. He must have had some good stuff in the works for them to ante' up. They were smart to take the reins from him and not "cash" him up so this would continue to bleed out.
I realize that it takes a bit to get the structure set-up, but nothing at all in (4) months? Holidays are time for people to converse, and there is nothing to talk about?
No way this gets a good look from others, until there is substantial information and direction outlaid.

Correct. My assumption is that the Sri Lanka project revenue was recognized in Q2 and Q3. But even if you say it was Q1-Q3, how big could that "major" order have been? A few hundred lights?
Regardless of that major letdown for anyone unfortunate enough to own shares and/or believe that VPER was going to do something substantial, something is definitely up with their latest "acquisition". The current CEO of VPER prepared the Q3 financials. It's interesting that the company stated they made the acquisition by giving shares of HMMR to HMMR. They failed to mention that they had acquired those shares of HMMR by giving HMMR 550,000 preferreds. I'm curious as to why they went that route instead of just saying "we acquired the entities by issuing HMMR 550,000 preferreds". Of course, there is the debt that the acquisition brings that is being addressed with more preferreds.
And why bother converting all of the A preferreds? Is it just something they could clean up easily to make things go smoother in the future? Why did Farid convert his B preferreds to common instead of just issuing commons for the "notes payable"? To me, that reinforces my belief that the preferreds will be immune to a reverse split.
"Other corporate actions inclusive of a name change". What other corporate actions aside from the name change? Or is that legal speak for whatever "corporate actions" occurred ended up just being a name change? What name is getting changed? Viper? 1stPoint? EndStream? American Networks? Shelcomm?

Under the terms of the Share Exchange Agreement the company exchanged 550,000 shares of Series B preferred stock for the 2.5 million shares of HMMR common stock. The company agreed to convert all outstanding Series A preferred stock into common stock, and convert 6,289,422 million shares of Series B preferred stock into common stock. Farid Shouekani agreed to convert outstanding notes payable into Series B preferred stock. Farid Shouekani remains the Company’s Chairman and President. The events of August 7 should have been included as "subsequent events" on the Q2 filing. All three of VPER's Q2 submissions happened after August 7.
Series A conversion will add 681,760,000 common shares. The series B will add 1,257,884,400 common shares. That leaves 11 million series B shares, but some amount of the available 9 million shares will be issued for Endstream and 1stPoint notes payable.
It SOUNDS like the name change is VPER, but it could be any of the companies involved I guess.
Getting compliant with SEC. Again, seems like a reverse merger to me, but I may be way off base. Series A preferreds are gone, so that cleans up that little bit of extra shares. Would series B be immune to a reverse split or, if there was a reverse split, do all of those get converted to common (between 2.2 billion and 4 billion) beforehand?

The 23 MILLION on the .0003 BID appears to be pretty reliable. Then there's that 136 MILLION on the .0002 BID. The 7 MILLION sitting on the.0004 ASK is nothing. A 4000.00 MARKET BUY would print some .0005's filling the order as L2 stands right now. This ticker is just missing one thing and that is trader enthusiasm. It has moved up and held pretty steady with nothing obvious justifying the support for the move. But the support is currently there none the less. More than anything VPER is a chart play at the moment. So I hope the powers to be here continue on driving us northward. I for one would certainly be grateful.....
